VP, General Counsel

📋 Description

• Act as the chief legal advisor to CTS North America's leadership regarding strategic business, operational, commercial, and regulatory issues.

• Create, assess, negotiate, and manage intricate agreements involving public-sector, government, transit agencies, technology licensing, SaaS, vendors, suppliers, partnerships, intellectual property, data privacy, and cybersecurity.

• Oversee dispute resolution, litigation strategies, claims management, and regulatory inquiries throughout North America.

• Counsel business leaders on contract risk, commercial strategies, governance, ethics, and compliance matters.

• Facilitate high-stakes customer negotiations and strategic business projects.

• Interpret and provide guidance on transportation regulations, public procurement standards, government contracting policies, and evolving regulatory frameworks.

• Direct ethics and compliance initiatives and manage internal investigations.

• Collaborate with Human Resources, Finance, Integrated Supply Chain, Information Technology, and other departments.

• Oversee relationships with external counsel and manage legal budgets.

• Create practical, commercially oriented legal solutions that align with operational goals while reducing corporate risk.

⛳️ Requirements

• Juris Doctor (JD) degree from a law school accredited by the American Bar Association.

• Active membership in good standing with a U.S. state bar.

• Capability to register as in-house counsel in California if necessary.

• A minimum of 15 years of progressive legal experience.

• Significant experience in supporting complex commercial organizations.

• Extensive background in negotiating, drafting, and managing sophisticated commercial and government contracts.

• Strong expertise in public procurement, government contracting, and regulatory compliance.

• Experience advising executive leadership on strategic business and operational choices.

• Proficiency in claims management, dispute resolution, investigations, and litigation oversight.

• Strong understanding of corporate governance, ethics, risk management, and compliance frameworks.

• Excellent written, verbal, negotiation, and executive presentation skills.

• Sound judgment in complex and high-profile circumstances.

• Preferred experience in transportation technology, mobility, transit systems, infrastructure, engineering, or government services.

• Preferred experience with public-sector customer relationships and government agency contracting.

• Preferred experience in technology licensing, software agreements, and intellectual property issues.

• Preferred experience in data privacy, cybersecurity, and information governance.

• Preferred experience in regulatory compliance within heavily regulated sectors.

• Preferred experience leading legal support for large-scale customer initiatives and strategic business partnerships.
