This is a fully remote position, open to applicants in United States.
• Draft, review, negotiate, and finalize commercial agreements, including customer agreements, vendor agreements, non-disclosure agreements, amendments, and related transactional documents.
• Collaborate with Sales, Customer Success, and other internal teams on transactions and contracting issues to support company growth.
• Offer practical, business-oriented legal guidance on commercial and contractual matters, encompassing contract interpretation and risk allocation.
• Assist Customer Success with client contract administration processes, including requests, notices, renewals, and the execution of legal documents.
• Facilitate procurement and vendor management activities, including negotiating third-party terms and vendor agreements.
• Work alongside Privacy, Compliance, Regulatory, Security, Operations, and other subject-matter experts throughout the contracting process.
• Ensure adherence to contract-related policies and procedures while addressing contract issues.
• Enhance forms, policies, playbooks, and processes to streamline, simplify, and automate the contracting process.
• Support legal due diligence, strategic initiatives, and other corporate projects.
• Foster collaborative relationships with stakeholders and provide problem-solving assistance.
• Meet or surpass expectations regarding responsiveness to company priorities.
• Enable timely and informed business decisions during contract negotiations.
• Oversee assigned matters from intake to execution with sound judgment, ownership, and reliability.
• J.D. from an accredited law school.
• Active membership in good standing with at least one U.S. state bar.
• Over 4 years of relevant legal experience, preferably advising fast-paced healthcare, health-tech, technology, or other regulated organizations, whether in-house or in private practice.
• Proven experience in drafting, reviewing, and negotiating commercial contracts.
• Ability to efficiently identify and assess legal and business issues, evaluate risk, and offer practical recommendations rooted in sound business judgment.
• Strong business acumen with the capability to manage multiple priorities in a dynamic environment.
• Exceptional skills in drafting, negotiation, communication, organization, project management, and prioritization.
• Strong sense of ownership and accountability for assigned tasks.
• High integrity, professionalism, intellectual curiosity, and a willingness to learn and grow.
• Ability to cultivate effective working relationships with colleagues at all levels.
• Commitment to maintaining the confidentiality of proprietary, sensitive, and personnel information.
• Nice to have: experience negotiating SaaS, technology, healthcare, or other regulated commercial agreements.
• Nice to have: familiarity with customer, vendor, technology, data protection, marketing, and other complex commercial contracts.
• Nice to have: experience supporting a high-growth technology company.
• Nice to have: experience in building contracting infrastructure or implementing contract lifecycle management tools.
