Legal Counsel – Contract

This is a fully remote position, open to applicants in United States.

📋 Description

• Assist with company formations, entity management, governance, and corporate housekeeping for super{set} and its affiliated companies.

• Prepare and oversee routine corporate documents, filings, resolutions, and associated materials.

• Keep organized corporate records and pinpoint issues that need attention.

• Collaborate with external counsel on specialized matters.

• Draft, review, and negotiate NDAs, employee agreements, vendor agreements, customer agreements, and other standard commercial contracts.

• Maintain and enhance standard contract templates.

• Aid business teams in efficiently moving agreements through review and execution.

• Support fundraising, financing, and other portfolio transactions.

• Assist with due diligence, document review, closing processes, and coordination with investors and external counsel.

• Support founder equity, option pools, grants, vesting arrangements, and other equity-related issues.

• Help maintain precise equity records and proactively identify issues.

• Offer practical assistance on routine privacy, data-use, and AI-related legal inquiries.

• Coordinate with external advisors on recurring tax, fund, corporate, and compliance matters.

• Support audits, investor reporting, filings, and other ongoing requirements.

• Transform recurring legal tasks into clear templates, processes, and playbooks.

• Keep legal workflows, documentation, and records well-organized.

• Identify opportunities to streamline routine legal work, making it faster, more consistent, and less reliant on outside counsel.

• Act as a trusted first point of contact for routine-to-moderate legal matters across super{set} and its portfolio.

• Cultivate relationships with the super{set} team, portfolio founders, investors, and external advisors.

• Appropriately escalate novel, higher-risk, complex, or strategic issues to senior or specialized counsel.

⛳️ Requirements

• A minimum of 4 years of legal experience, with significant exposure to corporate and commercial matters.

• Capability to independently manage routine-to-moderate commercial contracts and corporate issues.

• Strong legal judgment and the ability to differentiate between independently resolvable matters and those needing senior or specialized counsel.

• Experience in supporting financings, transactions, corporate governance, equity, or other ongoing corporate workflows.

• Excellent organizational skills and attention to detail, with the ability to oversee multiple workstreams to completion.

• A practical, business-oriented mindset that balances risk, speed, and business goals.

• Clear written and verbal communication skills, especially in articulating legal issues using straightforward business language.

• High level of agency and comfort in a fast-paced, ambiguous environment.

• In-house experience at a startup, scale-up, venture-backed company, or similar setting is highly preferred.

• Familiarity with venture financings, SAFEs, preferred stock financings, or related transactional work is a plus.

• Experience with equity administration, cap tables, option plans, and founder equity is advantageous.

• Knowledge of privacy, data, or AI-related legal issues is beneficial.

• Background in working with external counsel and managing legal workstreams efficiently is a plus.

• Experience in building legal templates, playbooks, contract workflows, or legal operations systems is an asset.

• Experience in a lean legal function requiring substantial independent judgment is favorable.
