Senior Director – Counsel – Alliance Management and Transactions, R&D

This is a fully remote position, open to applicants in United States.

📋 Description

• Offer strategic legal and business counsel to Alliance Management and other departments overseeing ongoing contractual relationships.

• Oversee post-execution legal assistance for licenses, collaborations, mergers and acquisitions, and other agreements.

• Draft, review, and negotiate intricate research and development as well as commercial agreements.

• Provide guidance on substantive transactional matters, including research, services, partnerships, sponsorships, and healthcare-related agreements.

• Deliver general legal and contract support for designated Lilly Research Labs therapeutic areas and cross-geographical initiatives.

• Manage legal components of governance, milestones and royalties, reporting duties, dispute resolution, termination, and other agreement lifecycle concerns.

• Identify and address complex legal issues, driving successful business results despite uncertainty.

• Ensure all agreements adhere to pertinent laws, regulations, and guidelines.

• Counsel legal leadership and clients to optimize the potential of pipeline and commercialized assets.

• Simplify complex technical, performance, and legal matters into clear terms and propose strategic solutions.

• Navigate legal disciplines impacting research and development as well as commercial sectors.

• Take ownership of matters and projects, pinpoint legal issues, and support attorneys and stakeholders on cross-functional projects.

• Stay updated on legal developments.

• Represent Lilly to external partners, customers, and suppliers.

• Resolve legal challenges through negotiation and legal acumen.

• Assist in directing outside counsel.

⛳️ Requirements

• Juris Doctor (J.D.) degree.

• Licensed to practice law in at least one of the 50 states.

• A minimum of 7 years of legal experience in drafting, reviewing, and negotiating complex transactions.

• Experience can be from a relevant law firm, an in-house legal department, or a combination of both.

• Authorized to work in the United States on a full-time basis.

• No employer support or sponsorship for work authorization or visas.

• Familiarity with drug development and experience in the pharmaceutical industry.

• Proven ability to proactively identify innovative solutions to transactional challenges and process enhancements.

• Strong judgment, commitment to ethical practices, and meticulous attention to detail.

• Demonstrated business acumen.

• Capability to prioritize and manage workflows for multiple concurrent assignments.

• Ability to swiftly comprehend and integrate with Lilly Legal and the pharmaceutical sector.

• Capacity to absorb intricate technical and scientific information.

• A Bachelor's degree in a scientific discipline is advantageous.
