Senior Director – Counsel, Alliance Management and Transactions, Infectious Disease & Vaccines

This is a fully remote position, open to applicants in United States.

📋 Description

• Offer post-execution legal assistance for licensing, collaboration, M&A, and various agreements within Lilly's infectious disease and vaccines portfolio.

• Provide guidance to Alliance Management and other departments overseeing ongoing contractual relationships.

• Draft, review, and negotiate intricate R&D and commercial agreements.

• Advise on government and BARDA-related contracting, CRADAs, and frameworks for public-private collaborations.

• Assist Lilly Research Labs projects and workstreams across different therapeutic areas and regions.

• Oversee governance, milestones, royalties, reporting duties, dispute resolution, termination, and other lifecycle issues related to agreements.

• Aid in the integration of newly acquired assets and platforms in infectious disease and vaccines.

• Identify and address complex legal challenges while driving successful business results.

• Ensure agreements adhere to relevant laws, regulations, and guidelines.

• Deliver clear strategic counsel to legal leadership and business stakeholders.

• Simplify complex technical, performance, and legal matters into comprehensible terms.

• Collaborate with Regulatory Legal and other legal subject-matter experts.

• Take responsibility for matters and projects in an emerging business sector.

• Represent Lilly to external partners, clients, suppliers, and government entities.

• Negotiate legal matters and guide outside counsel.

⛳️ Requirements

• Juris Doctor (J.D.) degree.

• Licensed to practice law in at least one of the 50 states.

• At least 7 years of legal experience in drafting, reviewing, and negotiating complex transactions.

• Experience working as part of a law firm in a relevant legal field, an in-house law department, or a combination of both.

• Authorized to work full-time in the United States.

• Knowledge of drug development with experience in the pharmaceutical industry.

• Strong preference for experience with infectious disease and/or vaccine programs.

• Familiarity with vaccine-specific legal and contracting frameworks, including BARDA, U.S. government contracting mechanisms, CRADAs, VICP, PREP Act, and CICP, is a plus.

• Ability to proactively discover creative and innovative transactional solutions and process enhancements.

• Strong judgment, dedication to ethical practices, and meticulous attention to detail.

• Proven business insight.

• Capability to prioritize and manage workflows for multiple concurrent assignments.

• Quick understanding and integration with Lilly Legal and the pharmaceutical sector.

• Proficiency in absorbing complex technical and scientific information.

• A bachelor's degree in a scientific field is advantageous.
