
Senior Corporate Paralegal – Global Entities

This is a fully remote position, open to applicants in United States.
• Oversee the global entity management function throughout the entire lifecycle of both domestic and international legal entities.
• Administer U.S. and international legal entities, ensuring all jurisdictions maintain good standing.
• Manage entity data and handle filings, licenses, tax registrations, and compliance duties.
• Establish new entities, file necessary registrations and licenses, and set up bank accounts and local service providers.
• Keep the company’s organizational chart current and accurate.
• Maintain a centralized database for entity and governance information while ensuring data quality, documentation precision, and readiness for audits.
• Liaise with stakeholders, service providers, registered agents, and regulatory bodies to ensure compliance is met promptly.
• Prepare and maintain board and shareholder resolutions, written consents, minutes, and governance documentation.
• Assist with board meetings, annual general meetings, and corporate proceedings across various time zones.
• Manage powers of attorney, authorized signatory lists, notarization, apostillization, and legalization processes.
• Collaborate with tax, treasury, and finance teams on entity structuring, intercompany transactions, and transfer pricing documentation.
• Coordinate with external counsel and local agents concerning foreign corporate law and regulatory requirements.
• Support mergers and acquisitions, joint ventures, and restructuring transactions by conducting entity-level due diligence, integration, and post-closing responsibilities.
• Aid in professional licensing initiatives and address entity-related queries.
• Enhance entity management workflows through technology utilization.
• Create standard operating procedures, templates, and best-practice guides.
• Generate reports detailing the status of the entity portfolio, compliance health, and upcoming deadlines.
• Act as the main point of contact for registered agents, regulatory bodies, external counsel, and internal stakeholders.
• Assist Legal team members and staff with additional assigned responsibilities.
• Minimum of 3 years of experience in corporate paralegal, entity management, compliance, and/or legal operations.
• Bachelor’s degree from an accredited institution preferred.
• Equivalent work experience will also be taken into account.
• Proficiency in Microsoft Office Suite required.
• Experience in project management and advisory, construction, or energy sectors is advantageous.
• Familiarity with managing entities across various international jurisdictions is a plus.
• Understanding of corporate governance principles, statutory compliance obligations, and regulatory filing processes is preferred.
• Experience with Cogency or similar entity management software is desirable.
• Familiarity with Sam.gov registrations, renewals, and filings is a plus.
• Background in professional licensing is preferred.
• Highly organized with the ability to manage multiple priorities effectively.
• Strong oral and written communication skills are essential.
• Capacity to work independently with minimal supervision.
• Ability to manage confidential and sensitive information with discretion and integrity.
• Openness to learning new technologies and software, including generative and agentic artificial intelligence.
