This is a fully remote position, open to applicants in Connecticut, +11 more states.
• Oversee and arrange corporate records, governance documents, and minute books for both the parent company and its subsidiaries.
• Draft and submit documents for the establishment, maintenance, and dissolution of entities across various jurisdictions.
• Ensure adherence to federal, state, and local regulations, including the prompt filing of annual reports and other necessary documentation.
• Organize and manage both physical and digital databases of subsidiary and legal contracts.
• Assist attorneys in the preparation and review of legal documents pertaining to mergers, acquisitions, and other corporate transactions.
• Coordinate due diligence efforts, including the organization and management of virtual data rooms.
• Create closing checklists, oversee document execution, and manage activities post-closing.
• Monitor legislative and regulatory changes that impact company operations and provide guidance on required actions.
• Assist in the preparation of regulatory documents and compliance-related submissions.
• Act as a liaison between internal departments, external counsel, and regulatory agencies.
• Offer advice to business units regarding corporate legal and compliance issues.
• Support legal operations, including processing invoices and managing budgets.
• A Bachelor's degree in Legal Studies, Business Administration, or a related field from an accredited institution.
• ABA paralegal certification or equivalent hands-on experience.
• At least 7 years of experience as a corporate paralegal, ideally within a corporate legal department or a large law firm, performing complex tasks.
• Comprehensive knowledge of corporate governance principles, laws, and regulations.
• Familiarity with federal, state, and local forms and filing procedures.
• Expertise in managing corporate entities across multiple jurisdictions.
• Strong organizational and project management abilities with a keen attention to detail.
• Capability to work independently and manage multiple tasks concurrently.
• Proficient in Microsoft Office Suite and legal research databases.
• Exceptional written and verbal communication skills, featuring a clear and concise drafting style.
