This is a fully remote position, open to applicants in United States.
• Prepare, submit, and monitor state and federal regulatory filings for Midi and its associated professional entities under the supervision of an attorney.
• Assist with state-level filings for professional entities, including formations, changes in ownership and officers, and other necessary updates.
• Aid in the preparation and upkeep of healthcare regulatory applications, renewals, and supporting documentation.
• Maintain a centralized compliance calendar for filing deadlines, renewals, annual reports, and ongoing obligations.
• Research state filing requirements and procedures, highlighting changes or issues for attorney review.
• Oversee registered agent services across all jurisdictions and manage the routing of service of process and government notifications.
• Ensure entities remain in good standing while managing corporate records, minute books, entity charts, and officer and director lists within the entity management system.
• Draft governance documents and provide support for board meetings.
• Administer Midi’s equity program and keep capitalization records in Carta or a similar platform.
• Process equity grants, exercises, cancellations, transfers, and terminations; monitor vesting and 83(b) documentation.
• Coordinate 409A valuations and stock-based compensation reporting.
• Assist with financings, secondary transactions, diligence requests, data rooms, signature packets, and closing documents.
• Serve as a liaison between Legal and Finance on matters related to entities, equity, audits, taxes, contracts, and expenditures.
• Manage tax payments, filing fees, registered agent invoices, legal vendor invoices, budget tracking, and spending reports.
• Support audit requests and maintain records of intercompany agreements, payments, and Finance-related contract obligations.
• A minimum of 5 years of experience as a corporate paralegal in a law firm, in-house legal department, or both.
• Practical experience with entity management across multiple states, including handling annual reports, foreign qualifications, and registered agent coordination.
• Direct experience in equity administration using Carta, Shareworks, or a comparable platform.
• Familiarity with Finance functions related to audits, tax filings, equity reporting, or legal expenditures.
• Experience in healthcare, digital health, or other regulated industries is highly desirable, especially with professional entities or healthcare licensing filings.
• Background at a venture-backed or rapidly growing company is an advantage.
• Proficient in Google Workspace or Microsoft Office, Slack, and e-signature platforms.
• Comfort with entity management systems, CLM tools, and AI tools is a significant plus.
• All candidates must be authorized to work in the United States without any current or future sponsorship requirements.
• A Bachelor’s degree or paralegal certificate is preferred.
