Senior Corporate Counsel, Data Centers and Infrastructure

This is a fully remote position, open to applicants in United States.

📋 Description

• Take ownership and lead data center transactions from structuring to execution, including letters of intent, master services agreements, order forms, and associated agreements.

• Prepare and negotiate data center capacity leases, colocation contracts, design/build agreements, as well as facilities and operations-and-maintenance contracts, and other arrangements that facilitate data center development and operation.

• Oversee infrastructure procurement agreements for GPUs, integrated server systems, network and power equipment, and other computational hardware.

• Collaborate cross-functionally on deal structures and offer practical advice on risk distribution, supplier evaluations, performance concerns, and remediation strategies.

• Assist with international expansion by tailoring requirements for new jurisdictions and working with local counsel on legal and market factors.

• Develop scalable templates, playbooks, fallback strategies, and approval frameworks.

• Contribute to other high-priority commercial and operational initiatives for a streamlined legal department.

• Report directly to the Associate General Counsel.

• Collaborate with teams in data center operations, procurement, engineering, operations, finance, tax, security, and compliance.

⛳️ Requirements

• Approximately 6-8+ years of legal experience, including significant in-house exposure supporting data center or comparable large-scale infrastructure projects.

• Direct experience negotiating data center agreements from the perspectives of a developer, provider, or tenant, including single-tenant and/or colocation transactions with modified-gross, triple-net, or similar lease structures.

• Experience with facilities and operations-and-maintenance agreements and familiarity with service levels, maintenance windows, security protocols, audit rights, change control measures, and service credits.

• Strong foundational knowledge in technology and infrastructure transactions.

• Ability to comprehend technical requirements and convert them into practical legal and commercial frameworks.

• J.D. from an accredited law school.

• Active bar admission in at least one U.S. state.

• Proven capability to independently lead multiple complex projects, exercise sound business judgment, and provide practical guidance within tight deadlines.

• A collaborative, low-ego, hands-on approach.

• Excellent communication and problem-solving abilities.

• Significant experience negotiating enterprise-level data center leases.

• Familiarity with tax incentives and financing structures, international procurement, trade compliance, or supply-chain risks.

• Experience with power-related contracts, including interconnection agreements, electricity service agreements, power purchase agreements, or behind-the-meter generation frameworks.

• Experience with early-stage site selection due diligence, including zoning and permitting factors.
