This is a fully remote position, open to applicants in United States.
• Provide specialized legal counsel to the CEO, CFO, and Board of Directors.
• Draft, evaluate, and negotiate commercial agreements, including MSAs, SaaS contracts, order forms, SOWs, NDAs, DPAs, vendor contracts, partnership agreements, and other commercial agreements.
• Collaborate with Sales, Customer Success, and Finance teams on customer agreements.
• Develop negotiation strategies and escalation protocols.
• Enhance contracting procedures, templates, approval limits, and contract lifecycle management.
• Oversee privacy and cybersecurity policies and practices in conjunction with Information Security.
• Create and maintain databases for corporate documents, commercial contracts, and vendor agreements.
• Review and negotiate agreements with technology providers and vendors.
• Manage relationships with external legal counsel, including handling litigation and disputes.
• Lead legal due diligence efforts and provide advice on mergers, acquisitions, and financing transactions.
• Work in partnership with HR to ensure compliance with labor and employment laws.
• Identify and mitigate potential legal and compliance risks.
• Oversee insurance policies, renewals, and associated relationships.
• Lead projects to scale the Legal function and cross-functional initiatives.
• Provide guidance on customer and contract-related matters.
• Drive optimization of workflows and foster continuous improvement.
• Assist with intellectual property issues, including trademarks, licensing, and protection of proprietary technology.
• Keep abreast of legal and regulatory changes impacting Novara and the SaaS sector.
• Promote organizational alignment and ensure company-wide execution.
• Juris Doctor (J.D.) degree from an accredited U.S. law school.
• Currently licensed and in good standing with a state bar in any jurisdiction.
• Over 5 years of legal experience in law firms or as in-house counsel, with progressive experience in legal operations.
• More than 3 years of experience in drafting, reviewing, and negotiating commercial contracts in a sophisticated setting.
• Proven experience providing legal guidance to high-growth software companies, ideally in a SaaS context.
• Strong skills in negotiation, drafting, and management of commercial contracts.
• Experience in managing privacy and cybersecurity policies.
• Excellent analytical and quantitative skills with a keen attention to detail.
• Exceptional verbal and written communication skills, with strong listening, team leadership, and execution abilities.
• Solid business acumen and a collaborative approach to teamwork.
