Corporate Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Assist in strategic transactions, encompassing M&A, investments, capital markets, and financing activities.

• Oversee ongoing responsibilities stemming from transaction documentation.

• Aid in SEC filings, which include 10-Ks, 10-Qs, risk factors, 8-Ks, proxy statements, Section 16 reporting, and submissions to the NYSE.

• Support corporate governance and entity management, involving intercompany transactions, entity reorganizations, and corporate filings.

• Provide counsel on investor relations and corporate communication matters.

• Review earnings materials, public communications, and internal messages.

• Deliver practical, actionable, risk-based advice to executives, employees, and cross-functional teams concerning corporate and securities issues.

• Collaborate with accounting, corporate development, finance, tax, human resources, equity, communications, and other cross-functional teams.

• Work alongside external counsel to offer efficient, practical, business-focused legal support.

• Monitor and advise on the potential effects of new and proposed corporate and securities legislation.

• Stay updated on governance trends, emerging legal challenges, and best practices.

• Suggest modifications to company programs or policies when deemed necessary.

• Identify issues related to privacy, product, employment, litigation, and healthcare regulatory matters, coordinating with subject-matter experts.

⛳️ Requirements

• Juris Doctor degree from an ABA-accredited law school.

• Active license to practice law in at least one U.S. jurisdiction.

• Over 4 years of post-law school experience in corporate, securities, and/or M&A at a law firm or in-house.

• Proven experience leading and managing strategic transactions, including capital markets, M&A, or financing activities, and/or advising on corporate governance for public companies.

• Demonstrated experience advising management and stakeholders on legal considerations and risks related to corporate transactions or initiatives.

• Familiarity with SEC rules, regulations, and compliance relevant to public companies, including periodic reporting requirements and Regulation FD.

• Experience working directly with senior leadership.

• Strong track record of providing creative, solution-oriented advice.

• Team-oriented mindset accompanied by a positive demeanor.

• Capability to adapt swiftly to a dynamic, fast-paced environment while managing multiple matters simultaneously.

• Excellent project management abilities.

• Proficiency in assessing issues from both legal and business viewpoints with a practical, business-centric approach.

• Ability to distill complex legal issues into clear advice for business partners.

• Capacity to build strong working relationships and collaborate across various functions and teams.

• Exceptional written, oral, and negotiation communication skills.

• Experience within the technology or healthcare sectors is a plus.

• Familiarity with FDA and other healthcare laws and regulations is advantageous.
