Senior Corporate Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Provide assistance throughout all phases of acquisitions and divestitures, including letters of intent, confidentiality agreements, due diligence, disclosure schedules, purchase and sale agreements, and closing documentation.

• Oversee post-closing integration activities in collaboration with business and functional leaders.

• Aid in the execution of integration plans and governance issues following acquisitions.

• Contribute to strategic transactions and corporate restructuring efforts.

• Prepare, review, negotiate, and provide counsel on master services agreements, statements of work, vendor agreements, procurement agreements, professional services agreements, confidentiality agreements, partnership agreements, and contracts related to real estate and facilities.

• Create and maintain contract templates and playbooks.

• Collaborate with business stakeholders to ensure practical and efficient contract execution.

• Assist with corporate tax initiatives and restructuring projects.

• Help maintain and optimize corporate entity structures.

• Work with external tax advisors and finance teams.

• Support initiatives related to partnerships, UP-C structures, and other corporate frameworks.

• Draft and negotiate office leases, easements, access agreements, and agreements for real estate purchases and sales.

• Facilitate real estate due diligence and closing matters linked to acquisitions.

• Support enterprise-wide strategic initiatives, programs for acquisition integration, cross-functional legal projects, special assignments from the General Counsel, and planning related to UP-C transactions.

• Manage external counsel on specific matters.

• Monitor legal expenditures through effective planning and supervision.

• Identify opportunities to internalize legal work to enhance efficiency and cut costs.

• Report directly to the General Counsel and collaborate closely with senior business leaders across the organization.

⛳️ Requirements

• Juris Doctor degree from an accredited law school in the United States.

• Active bar admission in good standing within at least one U.S. jurisdiction.

• A minimum of 8+ years of legal experience, including significant in-house corporate counsel experience.

• Extensive experience in supporting M&A transactions.

• Substantial experience in commercial contracting.

• Strong background in corporate governance matters.

• Considerable experience with financing transactions.

• Proven ability to work independently in a fast-paced setting.

• Excellent project management, organizational, and communication abilities.

• Capacity to deliver practical, business-oriented legal advice.

• Preferred: Experience with private equity-backed or publicly traded companies.

• Preferred: Familiarity with acquisition integration programs.

• Preferred: Experience with partnership structures, UP-C structures, or other complex corporate reorganizations.

• Preferred: Background in energy, infrastructure, industrial, construction, engineering, or related industries.

• Preferred: Knowledge of SEC reporting, public company governance, and capital markets issues.

• Preferred: Demonstrated experience in managing significant outside counsel relationships and expenditures.
