Legal Counsel

This is a fully remote position, open to applicants in Spain.

📋 Description

• Manage the daily in-house legal responsibilities, focusing primarily on contracts.

• Report directly to the fractional Head of Legal and maintain an independent legal desk.

• Draft, review, and negotiate various agreements including customer contracts, MSAs, DPAs, SaaS terms, NDAs, partner agreements, and vendor contracts.

• Collaborate with Sales and Revenue teams to oversee deals from the initial draft to signature, addressing complex issues as needed.

• Create and manage contract templates, fallback positions, and playbooks.

• Provide guidance on contract interpretation and associated risks.

• Review contracts related to procurement, vendors, and advisors.

• Establish and manage the contract lifecycle, which includes repository management, naming conventions, version control, and tracking renewals and expirations.

• Automate standard legal tasks, such as self-service NDAs, approval routing, and clause libraries.

• Report on contract volumes, cycle times, and outstanding matters.

• Assist with entity management, corporate filings, and board documentation.

• Collaborate with Finance and People teams on equity, compensation, and cap table processes.

• Uphold internal policies and compliance frameworks.

• Facilitate audit readiness and compliance with regulatory requirements across jurisdictions.

• Provide legal insights for customer security and procurement evaluations.

• Support data privacy and protection initiatives alongside IT & Compliance and the external DPO.

• Work with Security and Engineering teams on compliance projects.

• Keep records of processing activities, DPAs, and the list of sub-processors.

• Address daily inquiries regarding IP, licensing, and open source licensing.

• Collaborate with Product and Engineering teams on new features to ensure compliance with legal and regulatory standards.

⛳️ Requirements

• 3–6 years of post-qualification legal experience.

• Licensed to practice law in a relevant jurisdiction.

• Practical experience in commercial contracting, preferably in SaaS, technology, or high-growth sectors.

• Experience independently negotiating commercial agreements.

• Familiarity with at least one area beyond contracting, such as privacy, corporate law, IP, or compliance.

• Fundamental understanding of GDPR.

• Background in startup, scale-up, or international business settings.

• Venture capital experience is highly desirable.

• Strong commercial judgment with the ability to weigh risk against opportunity.

• Capacity to navigate ambiguity and make timely, pragmatic decisions.

• Hands-on, execution-oriented mindset with a willingness to build processes from the ground up.

• Excellent stakeholder management and communication capabilities.

• Highly organized with a process-driven approach.

• Quick, responsive, independent, proactive, practical, and solution-oriented.

• Preferred: experience supporting globally distributed teams.

• Preferred: familiarity with legal technology, CLMs, and AI-enabled workflows.

• Preferred: exposure to life sciences, biotech, or data-driven platforms.
