This is a fully remote position, open to applicants in United States.
• Deliver practical and business-focused legal guidance and recommendations to sales teams and stakeholders.
• Draft, review, negotiate, and finalize commercial contracts, such as BPaaS MSAs, SOWs, SaaS subscription agreements, license and service contracts, service orders, and associated documents.
• Act as the primary legal advisor for BPaaS and BPO engagements, encompassing delegated administration and managed services agreements.
• Provide counsel on SLAs, risk and liability distribution, data ownership and portability, as well as termination and transition clauses.
• Collaborate with Finance, Marketing, Professional Services, Security, IT, and other departments regarding commercial agreements.
• Oversee and offer guidance on data privacy, delegated-function, and other relevant laws and regulations.
• Assist with acquisitions and strategic partnerships through due diligence and negotiations of purchase and sale agreements.
• Develop and maintain standard templates, business processes, and internal policies.
• Liaise with and oversee external counsel support.
• Operate across various time zones utilizing video conferencing technology in a hybrid or remote setup.
• 7–10 years of experience in commercial law, including tenure at a large law firm or in-house within a technology or BPaaS/outsourced services organization; comparable experiences will be considered.
• Proven experience in structuring, negotiating, and finalizing BPaaS, BPO, or managed services contracts.
• Knowledge of SLAs, delegated functions, risk and liability distribution, and data rights.
• Understanding of regulatory and accreditation standards for delegated or outsourced business functions in healthcare or similarly regulated industries, including URAC, NCQA, and state delegation/TPA regulations.
• Capability to draft and conclude complex BPaaS and commercial agreements independently with minimal senior oversight.
• Ability to mentor less-experienced legal team members on BPaaS deal structuring.
