This is a fully remote position, open to applicants in New York.
• Assist in venture financing, secondary transactions, and various corporate matters.
• Prepare and facilitate board and stockholder approvals.
• Collaborate with external legal counsel on transaction documentation and execution.
• Oversee transaction checklists, signatures, document distribution, and closing processes.
• Organize closing sets and fulfill post-closing obligations.
• Exercise sound judgment on issues that may need escalation or specialist external advice.
• Manage corporate governance procedures and relevant documentation.
• Keep organizational records, minute books, and corporate documents updated.
• Handle state filings, annual reports, and other entity-maintenance tasks.
• Maintain records for subsidiaries and entities.
• Assist in board, stockholder, and other formal corporate approval procedures.
• Administer capitalization tables, equity plans, and equity grants.
• Oversee grants, exercises, transfers, cancellations, and related equity transactions.
• Reconcile equity records and pinpoint discrepancies that need correction.
• Maintain the master corporate data room along with supporting legal documentation.
• Draft and manage routine corporate and legal documents.
• Review documents for accuracy, completeness, and consistency.
• Navigate legal matters from initial drafting to signature and completion.
• Create AI-enabled legal intake and triage workflows.
• Develop scalable processes for highly asynchronous legal settings.
• Produce self-service tools, templates, playbooks, and approval workflows.
• Automate recurring tasks related to NDAs, approvals, signature requests, and similar issues.
• Identify repetitive legal tasks that can be optimized through technology.
• Enhance legal response times, accuracy, and operational scalability.
• Extensive experience in supporting venture capital financings, M&A, or similar corporate transactions.
• Strong grasp of transaction documentation, approvals, closing mechanics, and post-closing duties.
• Practical experience with corporate governance, entity management, and state filings.
• Solid knowledge of cap-table management, equity plans, and equity administration.
• Outstanding organizational skills and attention to detail.
• Capability to independently manage tasks from initial instruction to completion.
• Strong legal drafting, proofreading, communication, and project management abilities.
• Sound judgment and an ability to recognize issues that require escalation or external counsel.
• Genuine interest in AI, legal technology, workflow design, and automation.
• Comfortable working independently in a fast-paced and highly asynchronous environment.
• JD with approximately 3+ years of corporate counsel experience in both law firm and in-house settings is preferred.
• Experience working with venture-backed or high-growth technology companies is highly desirable.
• Familiarity with AI tools, workflow automation platforms, Slack integrations, or contract management systems is advantageous.
• Experience in improving or scaling legal processes through technology is a plus.
• Work must be conducted without utilizing any confidential or proprietary information belonging to any employer, client, institution, or other third party.
• Fully remote position, with the option to work from a San Francisco office.
