This is a fully remote position, open to applicants in New York.
• Design intricate transactional and governance scenarios for advanced AI evaluation tasks.
• Develop reference outputs and evaluation rubrics that reflect the practices of experienced corporate lawyers.
• Create M&A scenarios that encompass deal structuring, negotiation strategies, due diligence, and transaction execution.
• Assess transaction structures in light of legal, commercial, and regulatory factors.
• Produce legal memoranda, transaction analyses, deal documentation, and reference materials.
• Develop scenarios related to securities and capital markets, including offerings, public company reporting, filings, disclosures, and investor-facing materials.
• Evaluate AI-generated legal reasoning for accuracy, completeness, commercial relevance, and practical usability.
• Create corporate governance tasks that address board responsibilities, shareholder rights, fiduciary duties, approvals, disputes, and corporate policies.
• Develop scenarios for commercial contracts and transaction documents; assess risk allocation, obligations, remedies, interpretation, and drafting quality.
• Create tasks related to corporate restructuring and regulatory review, including SEC reviews, antitrust matters, HSR filings, and their international equivalents.
• Evaluate the interplay between legal requirements, board oversight, shareholder interests, and commercial objectives.
• Develop legal research and transaction tool scenarios using platforms like Westlaw, Lexis, Intralinks, and Datasite.
• Organize complex transactional information into clear, professional legal outputs.
• Design expert-level AI evaluation tasks and rubrics across corporate law and transactional workflows.
• Review AI-generated outputs and pinpoint subtle reasoning errors, incomplete analyses, and unrealistic transaction recommendations.
• Provide clear written justifications that support evaluation decisions.
• Over 5 years of professional experience in corporate law, M&A, securities, capital markets, corporate governance, or a closely related field.
• Senior-level experience as a Corporate Attorney, Corporate Counsel, General Counsel, M&A Attorney, Securities Counsel, or a similar legal professional.
• Experience in a major law firm, investment bank, large corporation, or a sophisticated in-house legal department.
• Direct responsibility for M&A transactions, securities filings, governance matters, commercial agreements, or complex corporate transactions.
• Strong understanding of deal structuring, due diligence, regulatory review, and corporate governance.
• Familiarity with US corporate law frameworks, UK or EU company law, or a combination of these.
• Experience working with regulatory approvals, board and shareholder processes, and transaction documentation.
• Excellent written communication skills and the ability to convey complex corporate legal reasoning clearly and precisely.
• JD with bar admission or an equivalent recognized international legal qualification is highly preferred.
• Experience in developing legal training materials, transaction documentation, evaluation rubrics, or professional review frameworks is a plus.
• Must operate without using confidential or proprietary information belonging to any employer, client, institution, or other third party.
• H1-B and STEM OPT support is not available for this engagement.
• Flexible scheduling based on project requirements.
