This is a fully remote position, open to applicants in Texas.
• Act as the main point of contact for commercial legal inquiries, prioritizing tasks and escalating complex matters as necessary.
• Take charge of the review, drafting, and negotiation of a substantial volume of commercial agreements.
• Assess and revise sales and renewal quotes for contractual and commercial consistency.
• Collaborate with Sales, Procurement, Compliance, and Legal stakeholders to address contractual and business challenges.
• Draft contractual responses for requests for proposals (RFPs) and requests for information (RFIs).
• Identify potential risks and suggest commercially viable solutions in conjunction with attorneys and senior team members.
• Assist in managing contract lifecycle processes, which includes maintaining templates, extracting key terms, and overseeing executed agreements within contract systems.
• Enhance contracting workflows, templates, and processes to drive efficiency and scalability.
• Support privacy and regulatory compliance initiatives by integrating data protection and information security considerations into agreements.
• Undertake additional responsibilities and projects that align with the strategic goals of the Legal team.
• 3–5 years of experience in drafting, reviewing, and negotiating commercial agreements within a law firm or an in-house legal setting.
• Bachelor’s degree or equivalent practical experience.
• Demonstrated ability to independently handle a high volume of commercial contracts, including Master Services Agreements (MSAs), professional services agreements, SaaS and software licenses, Statements of Work (SOWs), non-disclosure agreements (NDAs), and partnership, procurement, and vendor agreements.
• At least one of the following privacy certifications: CIPT, CIPP (any jurisdiction), CIPM, or AIGP.
• Strong analytical and problem-solving abilities, with a talent for identifying risks and proposing practical solutions.
• Exceptional written and verbal communication skills, capable of collaborating across various functions and levels.
• Keen attention to detail and the capacity to manage multiple priorities in a dynamic environment.
• Experience in recognizing basic privacy and information security issues in commercial agreements.
• Familiarity with technology contracting, especially within SaaS or software contexts.
• Working knowledge of data privacy laws and privacy-related agreements.
• Understanding of intellectual property and technology licensing concepts.
• Experience negotiating service level agreements (SLAs) or agreements related to emerging technologies such as AI.
• Proficiency with contract lifecycle management tools and systems (e.g., Salesforce, CLM platforms, Jira, Fresh Service, Coupa).
