This is a fully remote position, open to applicants in Texas.
• Act as the primary contact for commercial legal inquiries, prioritizing requests and escalating complex matters as necessary.
• Manage the review, drafting, and negotiation of a significant volume of commercial agreements.
• Assess and modify sales and renewal quotes to ensure contractual and commercial consistency.
• Collaborate with Sales, Procurement, Compliance, and Legal teams to address contractual and business challenges.
• Prepare contractual responses for requests for proposals (RFPs) and requests for information (RFIs).
• Identify potential risks and propose commercially viable solutions alongside attorneys and senior team members.
• Assist in contract lifecycle management, which includes maintaining templates, extracting key terms, and managing signed agreements.
• Enhance contracting workflows, templates, and processes to improve efficiency and scalability.
• Aid in privacy and regulatory compliance initiatives by incorporating data protection and information security considerations into agreements.
• Undertake additional projects that align with the strategic goals of the Legal team.
• 3–5 years of experience in drafting, reviewing, and negotiating commercial agreements within a law firm or in-house legal setting.
• Bachelor’s degree or equivalent practical experience.
• Demonstrated ability to independently handle a high volume of commercial contracts, including Master Services Agreements (MSAs), professional services agreements, SaaS and software license agreements, Statements of Work (SOWs), non-disclosure agreements (NDAs), partnership, procurement, and vendor agreements.
• Possession of at least one of the following privacy certifications: CIPT, CIPP (any jurisdiction), CIPM, or AIGP.
• Strong analytical and problem-solving capabilities.
• Excellent written and verbal communication proficiency.
• Keen attention to detail and the ability to juggle multiple priorities in a fast-paced environment.
• Experience in identifying fundamental privacy and information security concerns in commercial agreements.
• Preferred: experience with technology contracting, especially in SaaS or software environments.
• Preferred: working knowledge of data privacy laws and privacy-related agreements.
• Preferred: familiarity with intellectual property and technology licensing concepts.
• Preferred: experience negotiating service level agreements (SLAs) or agreements involving emerging technologies such as AI.
• Preferred: experience with contract lifecycle management tools and systems (e.g., Salesforce, CLM platforms, Jira, Fresh Service, Coupa).
• Preferred: law or paralegal degree or certification.
