This is a fully remote position, open to applicants in United States.
• Assist in the post-closing legal integration process, which involves contract migration, training sessions, notifications, consents or assignments, records migration, template collection and revision, as well as tracking integration tasks.
• Independently draft, review, edit, and negotiate standard and moderately complex commercial agreements.
• Implement and uphold contract templates, sanctioned positions, and escalation protocols within the CLM system.
• Recognize deviations and contractual risks related to scope, payment, indemnity, insurance, liability, intellectual property, confidentiality, and termination.
• Summarize contract terms, clarify standard terms and procedures, respond to routine contract inquiries, and collaborate with sales, procurement, finance, and other teams.
• Manage internal responses to subpoenas, third-party records requests, and other legal processes.
• Collaborate with in-house and external counsel on claims, litigation, and discovery responses.
• Oversee legal holds, including notifications, tracking acknowledgments, custodian communications, reminders, and documentation of updates and releases.
• Coordinate the preservation, collection, processing, and secure transfer of electronically stored information and other records.
• Maintain records of preservation instructions, custodians, collections, and transfers, and monitor outstanding actions.
• Manage the vehicle fleet and real estate portfolio assets, focusing on commitments, expirations, authorized users, lease renewals, opt-out deadlines, and insurance obligations.
• Provide support to Legal team members and other company staff on assigned tasks.
• For candidates with experience in employment-based immigration, coordinate documentation, case status, deadlines, and employee communications with HR, immigration counsel, and stakeholders.
• A minimum of 5 years of relevant paralegal or equivalent legal experience, typically gained through 5–8 years of progressively responsible work.
• At least 3 years of direct experience in drafting, reviewing, redlining, and negotiating commercial agreements.
• Practical experience in coordinating responses to subpoenas or records requests, administering legal holds, and overseeing the preservation and collection of electronically stored information.
• Bachelor’s degree, paralegal certificate, or a comparable combination of education and relevant experience.
• Strong business judgment with the ability to differentiate routine issues from those requiring additional facts, attorney review, or escalation.
• Clear and concise writing abilities along with strong communication and negotiation skills.
• Capability to explain contract provisions and work effectively with business partners, across departments, and with outside counsel.
• Ability to prioritize competing deadlines, maintain accurate records, safeguard confidential information, and follow through with minimal daily supervision.
• Proficiency in Microsoft Word, Excel, and other Microsoft applications, including redlining and document comparison functionalities.
• Comfortable using contract repositories, electronic signature tools, and document collection or review platforms.
• Familiarity with new technologies and software, including generative and agentic artificial intelligence.
• Preferred: In-house legal experience, especially in professional services, AI, engineering, or project management.
• Preferred: Experience with Ironclad or a similar CLM platform.
• Preferred: Background in supporting employment-based immigration matters and coordinating with immigration counsel.
