Senior Commercial Counsel, EU

This is a fully remote position, open to applicants in France.

📋 Description

• Oversee the negotiation of intricate commercial agreements, encompassing software licensing, SaaS services, OEM arrangements, R&D contracts, and inbound/outbound IP licensing.

• Collaborate with business leadership and sales to develop strategies for commercial contracts.

• Manage the complete contract lifecycle for both routine and complex transactions.

• Provide guidance on global distributor management, renewals, terminations, disputes, and compliance with mandatory local regulations.

• Assist with legal matters for TraceGains, GlobalVision, and X-Rite Pantone.

• Offer backup support for Esko’s legal affairs in the US.

• Consult on corporate matters and business model structuring.

• Aid in M&A transactions, due diligence, and the preparation of transaction documentation.

• Create and implement legal AI tools, including Microsoft Copilot and Claude.

• Design use cases for AI, including prompts, workflows, testing, and guidelines for responsible use.

• Develop and maintain legal templates, negotiation guidelines, playbooks, and RACI/RACIS frameworks.

• Work closely with R&D and product teams to foresee legal requirements for new products.

• Establish regulatory watch capabilities focused on cybersecurity, AI, data management, and data protection.

• Educate business leaders and sales/service teams on anti-corruption, competition law, and compliance practices.

• Assist in recruiting and nurturing a future nearshore legal resource and a Legal Center of Excellence.

• Collaborate with the wider Veralto legal team to exchange best practices and enhance legal processes.

⛳️ Requirements

• Master's degree in law (Master 2 or equivalent) from a French or EU institution.

• Qualified lawyer admitted to a bar (e.g., French bar / CAPA, or equivalent in another jurisdiction); current registration or active practice at a bar is not mandatory.

• Minimum of 8 years of experience in commercial law, with a focus on software licensing, SaaS agreements, and hosted services.

• Background in an international law firm, multinational corporation, or both.

• Proven experience in independently negotiating complex, high-value commercial agreements with large multinational entities, in English and under various governing laws.

• Familiarity with anti-corruption compliance programs and competition law, including third-party compliance frameworks and EU competition regulations.

• Practical experience with legal technology and AI tools.

• Experience in developing or enhancing contract templates, playbooks, or legal operations tools.

• Capability to translate complex legal concepts into actionable guidance for non-legal stakeholders, including R&D teams.

• Full professional proficiency in English, both written and spoken.

• Willingness to travel domestically and internationally up to 20% of the time.

• Preferred: in-house experience in a technology, software, or SaaS organization.

• Preferred: expertise in IT security, data privacy, AI regulation, GDPR, NIS2, Data Act, or EU AI Act.

• Preferred: experience in managing, coaching, or mentoring junior lawyers or establishing a legal CoE.

• Preferred: familiarity with US commercial law or experience working alongside US legal teams.

• Preferred: M&A experience, including due diligence and documentation.

• Preferred: experience negotiating with large multinationals in sectors such as consumer packaging, automotive, food and beverage, pharmaceutical, or electronics.

• Preferred: proficiency in additional languages such as German, Spanish, or Dutch.
