Legal Counsel, Commercial

📋 Description

• Provide support to 1Password on a wide array of commercial issues

• Collaborate closely with the Go-to-Market team to negotiate and finalize customer agreements

• Assist the procurement, partnership, and product teams

• Draft, review, and negotiate Master Service Agreements (MSAs), Order Forms, Data Processing Agreements (DPAs), and Statements of Work (SOWs)

• Evaluate and negotiate procurement agreements for SaaS vendors, professional services, sponsorships, physical goods, hospitality, and events

• Negotiate strategic partnership, reseller, and distributor agreements

• Offer product counseling regarding new products and features

• Create and maintain product terms and conditions

• Provide advice on privacy and data protection clauses in customer and vendor agreements

• Counsel on AI-related legal matters across customer, vendor, and product contexts

• Utilize AI tools to enhance legal processes and workflows

• Develop and sustain internal playbooks, templates, and guidance

• Manage bespoke and unique commercial issues throughout the organization

⛳️ Requirements

• Juris Doctor or a comparable law degree

• Good standing membership with a Canadian provincial or US state bar

• 3 to 5 years of experience as a commercial transactional lawyer

• Background at a reputable law firm with a strong commercial or technology focus, or within an in-house legal team at a mid-size or larger tech company

• Proven experience in drafting and negotiating customer agreements, including MSAs, Order Forms, DPAs, NDAs, and Statements of Work

• Experience in reviewing and negotiating procurement agreements across software, professional services, sponsorships, physical goods, and hospitality

• Familiarity with privacy laws, including GDPR, and their relevance to customer and vendor agreements

• Strong enthusiasm for AI, encompassing AI contract terms, evolving AI regulations, and practical applications of AI tools in legal tasks

• Proven ability to close deals under tight deadlines while managing risk

• Skill in translating complex legal issues into clear, straightforward advice

• Solutions-oriented, sales-driven mindset

• Excellent drafting, negotiation, and attention-to-detail abilities

• Experience with contract lifecycle management and procurement software, especially Ironclad and Zip, is advantageous

• Additional privacy expertise or certifications such as CIPP/E, CIPP/US, or CIPP/C are a plus

• Experience in negotiating partnership, reseller, and distributor agreements is a bonus

• Must already be legally authorized to work in the United States or Canada; no work authorization, relocation assistance, or visa sponsorship provided
