Senior Commercial Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Oversee the strategy, negotiation, and implementation of intricate, high-value enterprise agreements, which encompass SaaS, BPaaS, enterprise agreements, data processing agreements, business associate agreements, information security agreements, professional services agreements, and channel/reseller partner agreements.

• Prepare, review, and negotiate technology and licensing agreements within a high-volume contract pipeline, including engagements with Fortune 500 and sophisticated enterprise clients.

• Act as a strategic legal advisor to Sales, Customer Success, and business leadership on deal structuring, risk assessment, and negotiation tactics.

• Collaborate with Finance, Security, Product, and Support teams to address complex commercial and operational challenges, facilitating new go-to-market strategies and programs.

• Create, maintain, and enhance standard agreements, commercial legal templates, and negotiation playbooks.

• Provide guidance on intellectual property licensing, open-source software usage, and data rights/ownership matters, particularly in the context of AI/ML considerations.

• Contribute to workflows and processes related to contract negotiation, execution, and monitoring of contractual commitments.

• Develop and present training sessions for business teams on legal best practices.

• Utilize AI-driven legal tools to boost efficiency across a high-volume contract pipeline.

⛳️ Requirements

• Juris Doctor (J.D.) from an ABA-accredited law school.

• At least 10 years of pertinent commercial/corporate legal experience, with considerable exposure to BPaaS and SaaS enterprises.

• Exceptional skills in drafting, negotiation, communication, and interpersonal relations.

• Proven track record of establishing trusted advisor relationships throughout the organization.

• Demonstrated capability to independently handle numerous intricate, business-critical issues and competing priorities.

• Experience leading complex, high-value enterprise technology transactions, including SaaS and BPaaS licensing agreements with Fortune 500 and other advanced enterprise clients.

• Extensive knowledge of data protection, privacy, and AI-related regulations, including GDPR, CCPA, and the EU AI Act.

• Familiarity with information security contract stipulations.

• Outstanding judgment with a capacity to balance legal risks against business objectives in a dynamic, high-growth setting.

• Proven ability to enhance legal processes, develop scalable contracting resources, and promote operational excellence.

• Active bar license in your state of residence.
