This is a fully remote position, open to applicants in United States.
• Take the lead in drafting, reviewing, and negotiating customer-facing commercial agreements, which include SaaS and software agreements, master services agreements, order forms, statements of work, amendments, NDAs, data protection addenda, security terms, and partner or reseller agreements.
• Oversee the review and negotiation of vendor and procurement agreements related to software, cloud services, professional services, consulting, marketing, technology, and other third-party services.
• Collaborate with Sales and Revenue Operations on strategic and high-value transactions, addressing contracting issues and acceptable risk positions.
• Provide guidance to Procurement, Finance, Information Security, Privacy, Product teams, and business owners on vendor risk, commercial terms, data usage, intellectual property, confidentiality, security, liability, indemnification, and termination rights.
• Manage assigned commercial matters from intake through execution, prioritizing based on business impact, transaction value, risk, and timing.
• Assist with corporate, employment, compliance, dispute, and legal operations matters as business priorities dictate.
• Create and enhance contract templates, playbooks, clause libraries, fallback positions, approval standards, and self-service resources.
• Identify recurring negotiation challenges and suggest process improvements to shorten cycle time and strengthen the Legal-business partnership.
• Juris Doctor degree from an accredited law school.
• Active membership in good standing in at least one U.S. state bar.
• Generally, 5–7 years of relevant legal experience, including significant in-house commercial contracting experience within a technology, SaaS, or similarly complex business environment.
• Proven experience in independently negotiating complex customer and vendor agreements that involve significant commercial, privacy, security, intellectual property, indemnification, limitation of liability, and regulatory terms.
• Strong background in partnering directly with Sales on revenue-generating transactions and with business stakeholders on vendor and procurement issues.
• Ability to assess legal and business risk, establish priorities, make informed decisions, and articulate recommendations in clear, practical language.
• Excellent drafting, negotiation, project management, and stakeholder management abilities.
• Consistent attention to detail and quick responsiveness.
• Comfort in taking ownership with minimal supervision.
• Familiarity with global privacy regulations, data protection addenda, security reviews, or cross-border commercial matters (preferred).
