This is a fully remote position, open to applicants in United States.
• Manage strategic partnership contracting as the primary legal resource.
• Assist the Director and Senior Corporate Counsel in overseeing Cotiviti’s vendor contracts within both healthcare and non-healthcare sectors throughout their entire lifecycle.
• Evaluate, draft, and negotiate master services agreements, license agreements, SaaS agreements, business associate agreements, non-disclosure agreements, and other relevant commercial agreements.
• Create and implement contracting strategies for strategic partnerships, channel and distribution agreements, co-marketing agreements, and alliance-driven transactions.
• Draft, review, and negotiate complex vendor agreements and strategic partnership agreements, including MSA, software licenses, professional services, SaaS/PaaS/IaaS, BAA, and statement-of-work agreements.
• Provide guidance to internal stakeholders regarding contract interpretation, legal risks, and compliance obligations.
• Maintain databases and tracking systems for vendor and strategic partner relationships.
• Prepare legal summaries and risk assessments related to contract terms and essential provisions.
• Enhance contract management processes and workflows.
• Collaborate with vendor services, corporate alliances, business operations, compliance, privacy, information governance, and additional stakeholders.
• Lead cross-functional meetings to address contract issues and support business objectives.
• Educate non-legal teams on contract procedures and legal obligations.
• Fulfill assigned performance review duties, special projects, and other responsibilities.
• Juris Doctor (JD) degree and active membership in the bar.
• 8-10 years of experience acquired either in-house or at a large law firm.
• Exceptional interpersonal and presentation abilities.
• Capability to communicate effectively with individuals at all levels within the organization.
• Proven track record in negotiating complex agreements.
• Comprehensive understanding of legal, financial, and commercial aspects.
• Previous experience in M&A, corporate development, or complex deal structuring is preferred.
• Ability to build and sustain strong relationships within the legal department and across various business units.
• Ability to work autonomously with minimal supervision.
• Availability and responsiveness to legal and compliance team members as well as business units in a remote work setting.
• Familiarity with healthcare-related agreements, including business associate agreements, is preferred.
• Understanding of data privacy laws such as HIPAA, CCPA/CPRA, and GDPR is preferred.
• Awareness of emerging technologies like artificial intelligence is preferred.
• Knowledge of on-premise, cloud, and hybrid technology deployment models is preferred.
• Must be able to provide a dedicated and secure work area.
• Must ensure high-speed internet access/connectivity and maintain office setup.
