This is a fully remote position, open to applicants in United States.
• Develop and sustain valuation models for potential member firms, incorporating normalized/adjusted EBITDA, pro forma projections, and return analyses.
• Structure models for deals that encompass cash at close, rollover equity, and deferred consideration, while evaluating their effects on platform-level returns.
• Examine preliminary financials to pinpoint key value drivers, risks, and inquiries for sellers.
• Create materials that support the development of LOIs and proposals.
• Manage and refresh the platform-level acquisition model as transactions are finalized.
• Oversee post-LOI financial due diligence, focusing on revenue quality, client concentration, WIP and AR, realization rates, partner compensation, staff utilization, and revenue and client retention.
• Coordinate with third-party quality of earnings, legal, tax, IT, and HR advisors to ensure diligence remains on track.
• Maintain diligence request lists, data rooms, and issue tracking systems.
• Summarize findings and recommendations for investment decisions, and take ownership of investment memos.
• Assist in the review of purchase agreements and closing mechanics, including funds flow.
• Prepare quarterly updates for investors, board materials, and conduct ad hoc analyses.
• Address occasional requests for information from investors.
• Build and maintain dashboards that track member firm performance against budget and acquisition cases.
• Identify performance issues and assist leadership in addressing them with member firm partners.
• Contribute to the development of standardized reporting processes as the portfolio expands.
• Collaborate closely with the Co-CEOs, the VP of New Partnerships, and external advisors.
• 3-6+ years of experience in investment banking, private equity, transaction advisory/QoE, or corporate development.
• Proficient in advanced financial modeling, including three-statement, LBO/returns, and valuation analyses.
• A modeling test must be completed during the interview process.
• Practical experience in conducting or supporting financial due diligence for acquisitions.
• Strong accounting background with the ability to interpret, normalize, and critically assess small business financial statements.
• Exceptional organizational abilities to manage multiple deal and reporting workstreams simultaneously.
• Clear and concise written communication skills for preparing materials for investors and leadership.
• Experience in professional services M&A, especially in accounting, tax, or advisory firms (preferred).
• Background in a PE-backed platform or roll-up executing add-on acquisitions (preferred).
• Candidates must be authorized to work for any employer in the U.S.
