šŸ“‹ Description

• Collaborate with federal tax and advisory teams on buy-side and sell-side transaction tax projects.

• Conduct multi-state tax due diligence for middle market companies and private equity investors, focusing on nexus, exposure quantification, and audit risk.

• Interpret and apply state and local tax regulations in relation to tax due diligence initiatives.

• Analyze various tax types including state income and franchise tax, sales and use tax, property tax, payroll tax, and unclaimed property.

• Prepare comprehensive reports to present diligence findings to clients.

• Oversee engagement management, including the preparation and presentation of tax findings and concepts.

• Advise clients on maximizing opportunities and minimizing risks associated with mergers and acquisitions, offering recommendations for valuation and deal structuring alternatives.

• Develop and suggest innovative solutions to address engagement and transaction risks while effectively managing problem resolution.

• Review and provide feedback on project databooks and reports created by team members.

• Conduct post-close follow-up activities, including nexus studies, voluntary disclosures, audit defense, and other SALT planning efforts.

• Guide clients in preparing for exits and assist in implementing remediation strategies prior to sale.

• Engage with senior executives of clients and target companies.

• Demonstrate the ability to manage and prioritize team responsibilities while proactively consulting with Directors and Managing Directors.

• Handle multiple projects of varying sizes and complexities.

• Play a vital role in building relationships with existing and potential clients, identifying market opportunities, and articulating our value proposition.


ā›³ļø Requirements

• Bachelor's degree.

• 5 years of experience in public accounting or a related field.

• 3 years of supervisory experience.

• Must possess an active CPA or equivalent certification.

• Ability to manage all aspects of client engagements.

• Proven ability to communicate effectively, both verbally and in writing, at all levels of the organization, both internally and externally.

• Willingness to travel based on client and business requirements.

• Proficient in the use of relevant technology.
