M&A Manager

This is a fully remote position, open to applicants in Germany.

📋 Description

• Identify and assess potential acquisition candidates alongside the CEO and Finance team.

• Methodically develop and sustain the deal-flow pipeline through outreach, brokers, networks, customers, and agency partners.

• Directly engage with owners and management teams of prospective target companies.

• Conduct company valuations utilizing DCF and multiples-based approaches.

• Create business cases for potential transactions.

• Assist with commercial, legal, and tax due diligence alongside internal teams and external advisors.

• Aid in the preparation and support of negotiations regarding term sheets, LOIs, and purchase agreements.

• Support transactions from inception through to signing and closing.

• Assist in post-merger integration planning.

• Develop a reusable integration playbook.

⛳️ Requirements

• Several years of experience in M&A, investment banking, transaction services, corporate finance, or strategy consulting.

• Completed degree in business administration, finance, or a related field.

• Strong understanding of company valuation and financial modeling.

• Familiarity with SaaS metrics, including ARR, net revenue retention, churn, and CAC.

• Experience with buy-and-build models or software deals is advantageous.

• Proven experience in conducting or supporting due diligence processes.

• Confidence and persuasiveness in negotiation settings.

• Excellent communication skills when interacting with executives and business owners.

• Independent, structured, and proactive working approach.

• Established contacts in the software, hosting, or agency sectors, or the ability to develop them quickly.

• Fluent in both German and English.
