Legal Counsel

This is a fully remote position, open to applicants in Ukraine, +5 more countries.

📋 Description

• Prepare, assess, and negotiate various contracts, including MSAs, SOWs, NDAs, DPAs, software, SaaS, licensing, and vendor agreements.

• Effectively manage contract negotiations independently with clients, vendors, and external legal counsel.

• Recognize legal and commercial risks while offering practical solutions and alternative strategies.

• Provide legal guidance to internal teams on issues that arise across different jurisdictions, particularly in the US and Europe.

• Assist with intellectual property matters, encompassing software ownership, licensing, copyright, and trademarks.

• Offer support on corporate, compliance, privacy, and various other legal issues as required.

• Conduct legal research and produce clear and succinct legal advice.

⛳️ Requirements

• Master's degree in Law.

• Over 3 years of pertinent legal experience, ideally within an IT or technology organization.

• Extensive experience in drafting and negotiating commercial and technology contracts under US law and/or English law.

• Solid understanding of critical technology contract issues, including liability, indemnities, intellectual property, data protection, information security, and licensing.

• Proficient in English and Ukrainian.

• Hands-on experience with generative AI tools in legal practices.

• Familiarity with the US tax system.

• Background in the IT services, software development, or outsourcing sectors.

• Experience with legal matters related to privacy, cybersecurity, or AI.

• Knowledge of information security and privacy frameworks or assurance standards, such as ISO 27001, ISO 27701, SOC 2, or NIST frameworks.

• Experience in implementing or developing legal-tech or automation tools, including AI-assisted development or vibe coding.
