This is a fully remote position, open to applicants in Denmark.
• Develop and manage the company's contract repository using SharePoint or a Contract Lifecycle Management platform.
• Organize and oversee distributor agreements, supply and procurement contracts, service agreements, and software/licensing contracts.
• Monitor contract statuses, important dates, renewals, and expirations.
• Keep records of NDAs, standard Terms & Conditions, and executed agreements.
• Facilitate contract intake and ensure that fully executed contracts are appropriately filed and accessible.
• Revise, redline, and negotiate NDAs, standard Terms & Conditions, and modifications to contracts.
• Handle the escalation of non-standard terms and track contracts through to execution.
• Maintain and update corporate records for both existing and newly acquired legal entities.
• Monitor annual filing requirements and deadlines across Europe, China, and Australia.
• Collaborate with outside counsel on changes related to Directors/Officers, notarization, and international apostille requirements.
• Assist with M&A and internal reorganization efforts, including corporate due diligence and entity integration.
• Engage in discussions regarding entity closures and work with outside counsel on dissolutions.
• Create and organize a comprehensive Legal SharePoint site.
• Partner with internal IT on the implementation of the in-house Contract Lifecycle Management tool.
• Standardize legal templates to ensure global consistency.
• Coordinate with outside counsel and track legal expenditures and invoicing within Accounts Payable systems.
• Liaise with IP counsel and internal engineering and product teams.
• Assist with requests for insurance certificates, processing of wage garnishment orders, and other ad hoc legal issues.
• Report directly to the General Counsel and coordinate across functional areas, business units, outside counsel, consultants, accountants, and internal stakeholders.
• Juris Doctor (JD), Master of Laws (LLM), or a comparable law degree.
• Prior experience in a corporate legal department concentrating on corporate secretarial tasks or legal operations.
• Proven contract drafting and negotiation abilities, including redlining and risk assessment.
• Understanding of commercial terms such as indemnification, limitation of liability, and warranties.
• Knowledge of jurisdictional requirements in Europe, China, India, and/or Australia.
• Familiarity with apostille procedures.
• Background in common law (UK, Ireland, India) preferred.
• Strong proficiency in SharePoint, Microsoft Teams, and legal technology tools.
• Exceptional attention to detail.
• Capability to work independently in a fast-paced setting.
