Legal Counsel

This is a fully remote position, open to applicants in Illinois.

📋 Description

• Directly report to the General Counsel and act as a strategic legal advisor for sales, operations, procurement, and leadership teams.

• Draft, review, negotiate, and oversee commercial agreements, including customer contracts, vendor agreements, nondisclosure agreements, consulting agreements, and various business contracts.

• Provide advice to business leaders on commercial, operational, compliance, and corporate issues.

• Identify legal risks and propose solutions that align with business objectives.

• Collaborate with Sales, Procurement, Finance, Human Resources, Information Security, and other cross-functional teams.

• Assist in managing litigation, claims, disputes, and external legal counsel.

• Support corporate governance activities, which include legal entity management, corporate records, and board documentation.

• Aid in mergers, acquisitions, integrations, and other strategic business initiatives.

• Monitor changes in relevant laws and regulations and inform business leaders of potential impacts.

• Develop, review, and revise corporate policies, contract templates, and legal procedures.

• Promote ethics, anti-corruption, privacy, and regulatory compliance initiatives.

• Engage in internal investigations and offer legal guidance on risk mitigation.

• Provide legal training and education to business leaders and associates.

• Determine suitable legal positions and contract language in accordance with established company guidelines.

• Suggest legal strategies to minimize business and regulatory risk.

• Escalate significant legal, regulatory, litigation, or compliance issues to the General Counsel.

• Select and manage external counsel within the approved scope and budget.

• Carry out additional legal responsibilities as assigned.

⛳️ Requirements

• Juris Doctor (J.D.) from an accredited law school is required.

• Active license to practice law and good standing member of at least one U.S. state bar.

• 5+ years of legal experience in a law firm or corporate setting dealing with corporate law matters, particularly in commercial transactions.

• Strong grasp of intellectual property, data protection, and privacy laws.

• Excellent skills in negotiation, communication, and drafting.

• Capability to work both independently and collaboratively in a fast-paced, dynamic environment.

• Commitment to client service excellence.

• Exceptional attention to detail and accuracy.

• Proficient in Microsoft Office (Word, Outlook, PowerPoint, Excel).

• Practical experience in drafting, negotiating, and managing all facets of commercial transactions.

• Experience with international and/or governmental contracts is a plus.

• Fluency in English (both written and spoken) is required.
