This is a fully remote position, open to applicants in United States.
• Assist the Legal team with contract management, legal operations, mergers and acquisitions (M&A) support, and various administrative tasks.
• Help manage the contract lifecycle management system, which includes intake, routing, execution, and archiving.
• Maintain accurate contract records, generate reports on contract metrics, and monitor contractual terms.
• Provide initial contract reviews and coordinate the redlining and review processes.
• Aid in contract drafting, formatting, filing, and execution.
• Organize repositories for executed contracts, templates, playbooks, and legal documentation.
• Coordinate M&A due diligence and manage the organization and review of virtual data rooms.
• Prepare and keep updated due diligence checklists, closing checklists, and signature pages.
• Monitor disclosure schedules, ancillary documents, and closing deliverables.
• Support post-closing integration, entity record updates, and contract assignments.
• Maintain orderly deal files and transaction records.
• Help manage the legal billing platform and forecast legal invoices.
• Assist with legal expense accruals and foster coordination between the Legal and Finance teams.
• Support litigation record-keeping tasks.
• Collaborate on cross-functional projects to enhance legal processes.
• Respond to information requests from company personnel, outside counsel, and other stakeholders.
• Oversee books, records, and the contract repository.
• Carry out additional duties as assigned.
• A Bachelor’s degree is required.
• A minimum of 1 year of experience in contract lifecycle management (CLM) is necessary.
• Preferably, at least 3 years of experience as a legal assistant in a law firm or corporate legal department.
• Prior experience in legal operations and billing is preferred.
• Previous legal project management experience is advantageous.
• Familiarity with utilizing AI to enhance responsibilities.
• Strong organizational and legal project management abilities.
• Excellent business judgment, critical thinking, and communication skills are essential.
• Proven project management capabilities.
• Flexibility and a willingness to engage in a wide range of tasks.
• Outstanding time management and organizational skills; ability to handle multiple requests and priorities in a fast-paced environment.
• Proficient computer and word processing skills are required.
• Expertise in Google Docs, Google Sheets, Microsoft Word, Microsoft Excel, e-billing platforms, and contract management tools.
• Strong interpersonal communication skills with the ability to collaborate with staff at all organizational levels.
• A background check is required.
• Authorization to work in the U.S. must be verified through E-Verify.
