Legal Advisor – Transition Services

This is a fully remote position, open to applicants in Philippines.

📋 Description

• Evaluate the existing Securities and Exchange Commission registration and organizational framework of RI Philippines.

• Ascertain if a transition, merger, restructuring, amendment, or any other corporate action is legally necessary or advisable for affiliation with Relief International-France.

• Deliver an inception briefing note within three calendar days of starting the assignment.

• Perform thorough legal research on the current registration status, corporate structure, governance arrangements, Philippine laws, SEC regulations, and compliance implications.

• Examine viable legal options, which may include maintaining the existing structure, amending registration, restructuring, merging, or other applicable alternatives.

• Analyze the effects on governance, board composition, corporate documents, and the affiliation with global entities of Relief International.

• Outline implementation stages, identify involved government agencies, regulatory and documentation requirements, internal approvals, and provide indicative processing timelines.

• Estimate costs associated with government, SEC filings, publication, professional/legal services, and administrative expenses.

• Identify risks related to governance, registration, permits, compliance, contractual obligations, operations, legal matters, and implementation.

• Suggest a preferred strategy, prioritize actions, identify matters requiring verification, and highlight critical management decisions.

• Submit a detailed legal research and advisory report within five calendar days after acceptance of the inception briefing note.

• Present essential findings and recommendations to RI management within two calendar days following the report submission and make necessary revisions to the report.

⛳️ Requirements

• Legal proficiency in Philippine corporate law, SEC registration, governance, and related regulatory requirements.

• Expertise in legal research and analysis grounded in applicable laws, SEC regulations, issuances, and other authoritative sources.

• Capability to prepare a written assessment that identifies the legal basis for significant conclusions and distinguishes confirmed information from assumptions, estimates, and issues needing further verification.

• Ability to provide regular updates and timely requests for documents or clarifications.

• Proficiency in presenting findings to RI management and addressing reasonable clarification inquiries.

• Adherence to Relief International's policies concerning confidentiality and the handling of legal documentation.

• Commitment to the protection and safety of vulnerable communities.

• Compliance with RI’s code of conduct and safeguarding policies.

• Self-declaration of criminal records, provision of references, and other pre-employment checks, which may include police and qualification verifications.

🏝️ Benefits

• Professional fees are as outlined in the approved engagement proposal and/or contract amendment, subject to applicable taxes.

• An initial payment of 50% will be made upon signing the engagement and issuing the required invoice.

• The final payment of 50% will be processed upon submission, review, and acceptance of the Comprehensive Legal Research and Advisory Report, along with the completion of the management consultation session.
