This is a fully remote position, open to applicants in United Arab Emirates (UAE).

📋 Description

• Offer independent and unbiased insights and recommendations regarding the company's strategy, performance, risk management, regulatory compliance, and corporate governance.

• Review materials for the board and attend board, committee, and general meetings.

• Engage actively in discussions and the decision-making process.

• Operate strictly in a non-executive role.

• Avoid making legal or other commitments or contracts on behalf of the company unless explicitly authorized by the Board.

• Carry out necessary corporate and regulatory declarations as mandated by UAE law and VARA frameworks.

• Aid in preserving Hex Trust MENA’s fit and proper status.

• Prepare for and participate in four scheduled board meetings annually.

• Be available for ad hoc meetings and regulatory discussions as needed.

⛳️ Requirements

• Must be a legal resident of the UAE, with a preference for Dubai.

• Previous experience in similar roles is required.

• Comprehensive understanding of UAE financial regulations, local corporate laws, and VARA’s regulatory framework for Virtual Asset Service Providers (VASPs) is essential.

• Full disclosure of any potential conflicts of interest is required.

• Must fulfill VARA’s “Fit and Proper” criteria.

• No record of significant breaches of contracts, fiduciary duties, fraud, dishonesty, criminal activities, bankruptcy, or disqualifications as a director by regulatory bodies.

• Adherence to data protection policies is mandatory.

• Maintain corporate confidentiality during and after the appointment.

• Compliance with anti-corruption and anti-bribery regulations is required.
