Head of Legal

This is a fully remote position, open to applicants in United States.

📋 Description

• Take ownership of all legal matters at ScaleOps as the inaugural legal hire in the US.

• Collaborate closely with the GTM, Finance, and Executive teams while reporting directly to the VP of Finance.

• Manage the day-to-day contract lifecycle, which includes MSAs, order forms, NDAs, partner agreements, reseller contracts, and marketplace contracts for AWS, GCP, and Azure.

• Work directly with Sales leadership and account executives on active deals, expedite redlines, remove obstacles, and coach representatives.

• Develop and enhance contract playbooks, fallback positions, and self-service legal tools.

• Oversee outside counsel across various jurisdictions.

• Lead legal workstreams for upcoming financing rounds, encompassing term sheets, definitive documents, due diligence, cap table, and board matters.

• Conduct legal diligence, negotiations, and integrations for acquisitions.

• Manage corporate governance, entity management, equity administration, and board materials.

• Handle the legal aspects of privacy and data protection initiatives in collaboration with the Security team.

• Address employment law issues across US and international entities in partnership with People Ops.

• Administer IP strategy, including trademarks, open source policies, and the protection of ScaleOps IP.

• Design an AI-driven legal function.

• Assess, implement, and enhance AI tools for contract review, due diligence, research, and knowledge management.

• Create internal playbooks and prompts for AEs, SEs, and Finance.

⛳️ Requirements

• A minimum of 8 years of relevant experience.

• Ideally, a blend of top-tier law firm training coupled with in-house experience in a high-growth B2B SaaS or infrastructure company.

• Extensive commercial contracting experience, including the negotiation of numerous enterprise SaaS MSAs, DPAs, and order forms with Fortune 500 procurement and legal teams.

• Direct experience managing legal workstreams for venture financings (Series B and beyond).

• Experience with at least one M&A transaction, either buy-side or sell-side.

• Strong knowledge of US privacy and data protection laws, including GDPR and CCPA.

• Familiarity with SOC 2 and enterprise security requirements.

• Experience in implementing AI tools within a legal function, such as Harvey, Ironclad AI, Spellbook, Claude, custom LLM workflows, or similar.

• Proven examples of restructuring legal workflows around AI.

• Strong commercial judgment.

• Ability to act as a business partner rather than a gatekeeper.

• Willingness to work across US and Israel time zones.

• Openness to travel to Tel Aviv as needed.
