General Counsel

This is a fully remote position, open to applicants in Texas.

📋 Description

• Serve as a trusted legal and strategic advisor to the CEO, Board, and Executive Leadership Team.

• Oversee Eftsure's Legal, Risk, and Compliance functions in the United States, APAC, and Europe.

• Offer practical commercial insights across various areas including corporate and commercial law, technology contracts, partnerships, privacy and data protection, employment law, intellectual property, and other business matters.

• Review, draft, and negotiate intricate commercial agreements, such as customer contracts, software licensing, vendor agreements, employment contracts, and confidentiality agreements.

• Manage the company's legal and regulatory risk strategy, encompassing frameworks, policies, and controls.

• Keep the Executive Leadership Team and Board updated on emerging legislation and regulatory changes.

• Lead and facilitate M&A and other corporate transactions, including due diligence, deal structuring, and post-transaction integration.

• Assist with Board and corporate governance activities, including the preparation of Board materials, resolutions, and corporate secretarial requirements.

• Supervise data privacy, cybersecurity, and overall legal and regulatory compliance.

• Handle litigation, disputes, and claims while managing relationships with external counsel.

• Develop scalable legal infrastructure, including contract templates, negotiation playbooks, workflows, and processes.

⛳️ Requirements

• A Juris Doctor (JD), or equivalent regional degree, from an accredited law school.

• Active membership in good standing with at least one US state bar.

• Over 15 years of post-qualification legal experience, with considerable in-house experience, preferably in SaaS, fintech, or technology sectors.

• Previous role as General Counsel or in a senior legal leadership position.

• Proven experience in leading both senior and junior legal professionals.

• Background in a scaling, venture-backed, or PE-backed global technology company.

• Extensive experience in commercial contracting, corporate law, privacy, data protection, and cybersecurity.

• Experience advising a Board and senior executives on intricate legal, governance, and risk issues.

• Familiarity with supporting M&A and corporate transactions.

• Ability to effectively navigate multiple jurisdictions, especially the United States, APAC, and Europe.

• Familiarity with ISO 27001, ISO 27701, and SOC 2 frameworks is highly preferred.

• Proficiency in another language, particularly French, is a plus but not mandatory.
