This is a fully remote position, open to applicants in United States.
• Oversee the legal aspects of mergers, acquisitions, divestitures, joint ventures, minority investments, and various strategic transactions.
• Design and implement public and/or private M&A transactions in international markets.
• Organize cross-functional due diligence and pinpoint significant legal, operational, and regulatory risks.
• Lead the negotiation process for LOIs, NDAs, purchase agreements, transition services agreements, and other related transaction documents.
• Supervise external counsel to ensure high-quality execution, cost efficiency, and strategic alignment.
• Provide guidance to Corporate Development and executive leadership concerning deal strategy, risk distribution, structural options, regulatory issues, and integration considerations.
• Collaborate with Finance, Tax, HR, Compliance, and segment leaders on transaction structuring, working capital, indemnities, target-company compliance, and the long-term effects of integration.
• Assist with subsidiary governance, global entity maintenance, delegated authorities, treasury and financing activities, investor communications, and ESG and sustainability-related initiatives as required.
• Promote ongoing enhancements across M&A playbooks, templates, and processes.
• Mentor junior attorneys to bolster the organization's M&A capabilities.
• Juris Doctor (J.D.) degree.
• Active bar membership in either the United States or the United Kingdom.
• Over 10 years of experience managing complex M&A transactions at a prominent law firm (AmLaw 100) and/or within a global corporate legal department (Fortune 500).
• Extensive knowledge in corporate law, cross-border public and/or private M&A, and intricate transaction negotiations.
• Proven track record of advising senior executives on critical matters while managing multiple concurrent transactions and workstreams.
• Experience conducting global regulatory assessments, including antitrust and industry-specific regulations.
• Background in advising industrial or technology-focused companies, such as manufacturing, water, consumer packaged goods, pharmaceuticals, environmental services, technology, or other regulated industries is advantageous.
• Familiarity with supporting public company governance, capital markets transactions, corporate secretary responsibilities, or subsidiary management is a plus.
• Understanding of public company obligations under the Securities Act of 1933, the Securities Exchange Act of 1934, and NYSE Listing Standards is a plus.
