This is a fully remote position, open to applicants in Arizona.
• Provide guidance to Mirantis’ General Counsel and legal team regarding commercial transactions, vendor agreements, privacy/data protection, and associated issues throughout the organization.
• Create and execute transaction playbooks and integration checklists.
• Oversee the corporate legal affairs of the company and its subsidiaries both domestically and internationally.
• Draft, negotiate, and evaluate commercial and vendor agreements, including software licenses, professional services, reseller, referral, and supplier contracts.
• Assess vendor and contractor agreements.
• Assist the Data Protection Officer in preparing Data Processing Addenda and related documentation.
• Aid in training initiatives focused on legal standards and regulatory requirements.
• Evaluate legal risks in collaboration with cross-functional business teams and devise practical solutions.
• Work alongside the General Counsel to refresh templates.
• Collaborate with sales, channel sales, services, training, and product teams to ensure compliant deal structuring and clear documentation of obligations.
• Proven experience in reviewing, drafting, and negotiating commercial contracts, including SaaS and on-premises software licenses, professional services, reseller and referral agreements, and vendor/supplier contracts.
• Preference for familiarity with open source and AI technologies.
• Knowledge of intellectual property, licensing, SaaS, revenue recognition, privacy, and legal matters related to commercial transactions.
• Strong skills in contract analysis, drafting, and negotiation.
• Exceptional verbal and written communication abilities.
• 3–5 years of comprehensive legal experience.
• Minimum of 3 years of experience in negotiating commercial contracts, ideally in-house at a software, SaaS, open-source, or technology-focused organization.
• Experience supporting business units in Canada, the EU, or APAC is advantageous.
• Background in representing established private and public companies.
• Familiarity with complex corporate structures and cross-border transactions.
• Capability to adapt to fast-paced changes, new directions, technologies, products, and unique legal challenges.
• In-house counsel experience is preferred.
• Preference for candidates who can register as in-house counsel in California.
• Prior experience at a top-tier law firm is preferred.
• Must be admitted to the bar and maintain good standing in at least one U.S. state.
