This is a fully remote position, open to applicants in Washington.
• Act as the primary legal resource for APA divisions and business units, offering guidance, compliance assistance, initial review, and strategies for risk management.
• Direct incoming legal inquiries to the appropriate workflow within the Office of General Counsel and counsel internal clients on compliance needs, decision-making points, and escalation procedures.
• Oversee the contract lifecycle for assigned projects, which includes reviewing, drafting, and occasionally negotiating program agreements, vendor and consulting contracts, service agreements, event contracts, NDAs, data agreements, and other operational contracts.
• Collaborate with revenue-generating teams to pinpoint legal and business risks, suggest modifications, and ensure timely contract reviews.
• Provide continuous program counsel and operational approvals.
• Work together on governance compliance and risk management, addressing conflicts of interest.
• Assist with government contracts, government grants, and private grants by examining funding agreements, grant conditions, compliance responsibilities, flow-down obligations, reporting requirements, certifications, and operational risks.
• Aid litigation efforts through fact-finding, coordination of document collection, discovery support, review or management of subpoenas, preservation, information gathering, and acting as a liaison with external counsel.
• Function as the initial point of contact within OGC for APA staff, divisions, programs, leaders, and governance participants regarding division legal matters.
• Collaborate across APA on initiatives within designated practice areas and represent OGC in internal committees and workgroups.
• Coordinate with external counsel on litigation, subpoenas, grants, and contracts.
• Assist fellow OGC attorneys on special projects and cross-functional legal priorities.
• Execute other assigned duties.
• Juris Doctor degree from an ABA-accredited law school.
• Active member in good standing of the District of Columbia Bar, or eligible for waiver into D.C.
• Three to five years of progressive legal experience in one or more preferred practice areas, such as non-profit, association, governance, contract lifecycle management, grants, corporate compliance, and litigation support.
• Strong generalist instincts, sound judgment, and capacity to identify and tackle complex legal issues under tight deadlines.
• Ability to swiftly learn new areas of law as business needs evolve.
• Outstanding analytical and critical thinking abilities.
• Excellent interpersonal, negotiation, and collaboration skills.
• Clear and concise written and verbal communication skills, including the ability to simplify complex legal concepts into practical advice.
• Capability to excel in a small, fast-paced general counsel's office.
• Experience collaborating with staff and volunteers on legal guidance, project planning, compliance, risk assessment, operational approvals, and issue escalation.
• General proficiency with Microsoft Office, Teams, Zoom, contract management systems, project management tools, APA-approved AI tools, and business workflow and collaboration software.
• Technical aptitude to quickly adapt to new systems and utilize technology to organize intake, track matters, summarize issues, prioritize projects, and manage legal workflows.
• Familiarity with election law, tax-exempt organization law, and general legal counseling is preferred.
• Knowledge of federal exempt-organization law for Section 501(c)(3) and Section 501(c)(6) organizations and political action committees is preferred.
