This is a fully remote position, open to applicants in District of Columbia, +1 more state.

📋 Description

• Act as a primary legal resource for APA divisions and business units, offering guidance, compliance assistance, initial review, and risk management strategies.

• Assess incoming legal inquiries and assist internal clients in comprehending compliance obligations, decision-making points, and escalation requirements.

• Oversee the contract lifecycle for designated matters, encompassing review, drafting, and occasional negotiation.

• Examine program agreements, vendor and consulting contracts, service agreements, event contracts, NDAs, data agreements, and various operational agreements.

• Collaborate with revenue-generating teams to pinpoint legal and business risks, suggest revisions, and ensure timely contract reviews.

• Deliver ongoing program counsel and operational approvals.

• Work together on governance compliance and risk management, including addressing conflicts of interest.

• Assist with government and private grants, covering funding agreements, grant terms, compliance duties, flow-down requirements, reporting responsibilities, certifications, and operational risks.

• Provide litigation support, including fact gathering, document collection, discovery assistance, subpoena management and review, preservation, information retrieval, and coordination with outside counsel.

• Be the initial contact within OGC for APA staff, Divisions, programs, leaders, and governance participants regarding division legal matters.

• Collaborate on projects across APA within assigned practice areas and represent OGC on internal committees and work groups.

• Coordinate with outside counsel on litigation, subpoenas, grants, and contracts.

• Assist fellow OGC attorneys with special projects and cross-functional legal priorities.

• Execute other duties as assigned.


⛳️ Requirements

• J.D. from a law school accredited by the ABA.

• Active member in good standing of the District of Columbia Bar, or eligible for waiver into D.C.

• Three to five years of progressive legal experience in one or more of the desired practice areas: non-profit, association, governance, contracts lifecycle management, grants, corporate compliance, and litigation support.

• Preferably familiar with election law, tax-exempt organization law, and general legal counseling.

• Strong generalist instincts, sound judgment, and the ability to identify and tackle legal issues across multiple subjects under tight deadlines.

• Capacity to swiftly learn new areas of law.

• Outstanding analytical and critical thinking abilities.

• Strong interpersonal, negotiating, and collaborative skills.

• Clear and concise written and verbal communication skills, including the ability to translate complex legal concepts into practical advice.

• Experience in working with staff and volunteers on legal guidance, project planning, compliance, risk assessment, operational approvals, and issue escalation.

• General proficiency with Microsoft Office, Teams, Zoom, contract management systems, project management tools, APA-approved AI tools, and other business, workflow, and collaboration software.

• Ability to quickly adapt to new systems and leverage technology to organize intake, track matters, summarize issues, prioritize projects, and manage legal workflows.
