This is a fully remote position, open to applicants in Argentina, +3 more countries.
• Assist in the preparation and submission of Forms 10-K, 10-Q, and 8-K.
• Manage filing logistics in collaboration with internal teams, external counsel, auditors, investor relations, and filing agents.
• Support EDGAR submissions, manage exhibits, and compile filing packages.
• Prepare and coordinate Section 16 Forms 3, 4, and 5 filings while maintaining the Section 16 insider list.
• Oversee insider-trading windows, track blackouts, and support Rule 10b5-1 plans.
• Prepare and manage D&O questionnaires and records for directors and officers.
• Assist in the creation of the annual proxy statement, logistics for the annual meeting, and activities associated with public companies.
• Maintain cap-table, equity-grant, and beneficial ownership records in collaboration with Finance.
• Support compliance with Nasdaq listing requirements and related submissions.
• Prepare materials for Board and committee meetings, manage logistics, and coordinate scheduling.
• Administer the board portal and manage director access.
• Draft and maintain meeting minutes, resolutions, action items, and follow-ups.
• Keep minute books, resolutions, and governance records for both domestic and foreign entities.
• Support state and subsidiary filings, annual reports, good-standing maintenance, and coordination with registered agents.
• Assist with litigation matters and liaise with outside counsel.
• Track and manage insurance claims and related documentation.
• Prepare responses to subpoenas and legal processes, coordinating the collection and production of materials.
• Utilize AI tools and legal technology to enhance filing preparation, records management, and recurring processes.
• Collaborate with attorneys, Legal Operations, Finance, and other teams to meet deadlines.
• Perform additional duties as assigned.
• Bachelor’s degree or an equivalent combination of education, training, and/or experience.
• Paralegal certificate from an ABA-accredited program is preferred.
• A minimum of 8 years of paralegal experience within corporate or public company settings, ideally combining law firm and in-house experience.
• Proficient understanding of SEC reporting requirements, Section 16, Nasdaq listing standards, and public company governance practices.
• Familiarity with EDGAR, XBRL, Section 16 filing agents, board portals such as Diligent or Boardvantage, and entity management software.
• Experience with stock administration and equity plan records is advantageous.
• Background in litigation, insurance claims, or support for subpoenas and legal processes is a plus.
• Comfortable using AI tools, or a genuine willingness to develop proficiency in them.
• Experience in a public technology or SaaS company is a plus.
• Exceptional organizational skills and attention to detail.
• Good judgment and discretion in handling confidential and material non-public information.
• Experience supporting a Corporate Secretary, Board of Directors, and senior executives with sensitive materials.
• Strong communication skills and the ability to collaborate with attorneys, executives, and cross-functional teams.
