Corporate Paralegal

This is a fully remote position, open to applicants in United States.

📋 Description

• Provide support to the Board of Directors and committee processes by preparing and organizing meeting materials, maintaining minutes and resolutions, managing approvals and consents, and keeping corporate governance records up to date.

• Oversee the maintenance of corporate books and records, managing subsidiary and entity matters such as formations, qualifications, annual filings, registered agents, and other corporate maintenance requirements.

• Assist in equity financings, debt transactions, secondary transactions, equity administration, and other corporate transactions, including managing signature processes, closing documentation, due diligence, and transaction records.

• Collaborate with Legal, Finance, and People teams on equity-related issues, encompassing equity grants, exercises, stockholder records, capitalization information, and associated documentation.

• Create and maintain scalable processes, templates, trackers, policies, document-management practices, and other systems to enhance the efficiency of the Legal team.

• Support the execution and organization of significant agreements and legal documents, maintaining legal records while tracking obligations and deadlines.

• Coordinate legal diligence and data-room processes for financings, commercial transactions, M&A, and other strategic initiatives.

• Collaborate with Finance, People, Executive Operations, and other departments to gather information, coordinate approvals, and advance complex projects.

• Assist in managing workflows with external counsel and service providers, including handling documents, information requests, signatures, invoices, and filings.

• Take on additional projects and responsibilities as the Legal team and the company expand.

⛳️ Requirements

• A minimum of 4 years of corporate paralegal experience in a law firm and/or an in-house legal department.

• Ideally, experience supporting venture-backed, technology, manufacturing, energy, or other high-growth sectors.

• Strong expertise in corporate governance, board and committee processes, corporate records, and entity management.

• Experience in supporting corporate transactions such as venture financings, debt financings, M&A, secondary transactions, or similar activities.

• Excellent organizational and project-management abilities.

• Capability to manage multiple priorities and deadlines while maintaining a keen attention to detail.

• Strong written and verbal communication skills.

• Sound judgment to interact effectively with attorneys, executives, directors, employees, and external advisors.

• Capacity to handle sensitive and confidential information with discretion.

• A practical, proactive approach to problem-solving, along with a willingness to take ownership of tasks.

• Experience in supporting a late-stage private or public company is preferred.

• Familiarity with equity administration and capitalization platforms is preferred.

• Experience with legal technology, contract lifecycle management, board-management, or entity-management systems is preferred.

• Experience in developing or enhancing legal processes is preferred.
