Corporate Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Provide legal advice on a diverse array of corporate issues, emphasizing commercial contracts and corporate governance.

• Collaborate closely with finance and business operations teams.

• Draft, review, and negotiate agreements with customers and suppliers, including teaming agreements, NDAs, licensing agreements, and services agreements.

• Offer guidance on corporate governance, entity formation, capitalization, and internal reorganizations.

• Assist in corporate transactions, financing activities, and various strategic initiatives.

• Partner with compliance and export control teams to ensure contracts comply with regulatory standards, encompassing government contracting and international trade aspects.

• Create and maintain contract templates, playbooks, and internal guidance documents.

• Support post-acquisition integration efforts by aligning legal entities, contracts, and compliance responsibilities.

• Report directly to the General Counsel as a member of the Legal department.

⛳️ Requirements

• Juris Doctor (J.D.) degree from an accredited law school.

• Licensed to practice law in the relevant jurisdiction of residence or practice.

• A minimum of 4 years of experience in corporate, contracts, or transactional law, either in-house or at a law firm.

• Superior skills in contract drafting and negotiation.

• Ability to independently manage a substantial volume of agreements.

• Familiarity with government contracting, export controls (ITAR/EAR), or the aerospace/defense sector is advantageous, but not mandatory.

• Strong judgment and business insight.

• Proficient in conveying complex legal concepts in a clear manner to non-legal stakeholders.

• Must qualify as a U.S. Person: either a U.S. citizen, lawful permanent resident of the U.S., or a protected individual as defined by 8 U.S.C. § 1324b(a)(3).

• Eligible to secure the necessary export authorizations from the U.S. Department of State or U.S. Department of Commerce.
