Corporate Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Evaluate, negotiate, and finalize commercial agreements with Sales and Partnerships, encompassing customer, reseller, referral, strategic partnership, vendor, amendment, and NDA contracts.

• Work collaboratively across Operations, Finance, and Product teams.

• Take ownership of and continually enhance contract playbooks and negotiation guidelines, which include fallback positions, escalation thresholds, and approval authorities.

• Assist in establishing Stord’s contract management framework, featuring template libraries, workflow tools, and process documentation.

• Provide guidance to Sales and business teams on deal structures, contract negotiations, and risk evaluations.

• Act as the legal representative for Sales and Partnerships teams.

• Recognize opportunities to enhance contract management procedures and standardize operations.

• Respond to internal inquiries related to contractual questions, obligations, and compliance matters.

• Remain updated on commercial, intellectual property, privacy, and compliance issues.

• Offer daily legal counsel and create business-focused strategies that mitigate risk while fostering business growth.

⛳️ Requirements

• Over 3 years of experience in commercial transactions within the ecommerce or logistics sectors.

• Proven track record in negotiating, drafting, and resolving issues related to commercial contracts, particularly in warehousing and logistics.

• Strong business acumen with the capability to deliver practical, risk-balanced advice.

• Ability to quickly adapt and take charge of a contract portfolio in a dynamic, high-volume setting.

• Capacity to work autonomously in a fast-paced environment.

• Familiarity with legal technology, including AI-driven contract review tools and CLM platforms; experience with Ironclad is advantageous.

• Juris Doctor (J.D.) from an accredited law school is mandatory.

• Membership in at least one state bar is required.

• Outstanding written and verbal communication abilities.

• Exceptional organizational skills and meticulous attention to detail.

• Proficient in prioritizing work, managing multiple projects, and adhering to deadlines.

• Comfortable with developing and refining processes and structures.

• Preferably has logistics experience and in-house legal exposure.

• Experience with warehouse liens, bailment law, or UCC Article 7 is preferred.

• Familiarity with FMCSA broker regulations, transportation law, or logistics compliance requirements is a plus.

• Experience in data privacy agreements, technology contracts, or software licensing arrangements is desirable.
