Associate General Counsel

This is a fully remote position, open to applicants in Alaska, +14 more states.

📋 Description

• Act as the primary in-house legal advisor for specified revenue-generating initiatives of APA and APASI.

• Collaborate with BIGO and other revenue-generating divisions from the initial concept phase to launch, operation, evaluation, and potential expansion.

• Provide guidance on business models, product development, commercialization strategies, pricing structures, distribution channels, strategic partnerships, sponsorships, and licensing agreements.

• Offer legal support for revenue-related digital assets, product assessments, and innovation communities.

• Advise APA Labs on technology assessments, product trials, digital badge initiatives, startup collaborations, and external partnerships.

• Recognize legal and business risks, suggest practical solutions, and assist in operational decision-making.

• Create scalable contract frameworks, templates, approval workflows, and risk management controls.

• Offer legal expertise on artificial intelligence, digital health, emerging technologies, publishing, and practice-related initiatives.

• Draft and negotiate agreements related to AI development, assessments, testing, data access, research collaborations, technical implementations, and commercial alliances.

• Provide counsel on intellectual property, data rights, confidentiality, cybersecurity, privacy, licensing, product claims, and technology-related risks.

• Evaluate proposed AI products, services, pilot programs, and partnerships.

• Establish contractual safeguards for training data, model outputs, human oversight, bias, security, compliance, audit rights, indemnification, and liability.

• Keep abreast of legal and regulatory changes and offer practical advice.

• Assist in formulating governance standards and review processes for responsible AI initiatives.

• Oversee contract lifecycles, including drafting, reviewing, approving, compliance, renewals, amendments, terminations, and resolving disputes.

• Draft and negotiate agreements related to services, technology, licensing, strategic partnerships, sponsorships, data, confidentiality, and memoranda of understanding.

• Maintain contract templates and playbooks, coordinating reviews through APA’s contract management system.

• Engage and supervise outside counsel when specialized knowledge is required.

• Counsel on corporate, tax, intellectual property, antitrust, advertising, consumer protection, and regulatory issues.

• Prepare and deliver training sessions for staff on contracting, AI, intellectual property, and compliance matters.

• Participate in internal committees and working groups, supporting the priorities of the Office of General Counsel.

⛳️ Requirements

• 10-12 years of legal experience as mentioned in the role overview.

• Juris Doctor (J.D.) from an ABA-accredited law school.

• Active membership in good standing with the District of Columbia Bar, or eligibility for admission by waiver.

• Eight to ten years of progressively responsible legal experience.

• Extensive experience in drafting and negotiating complex commercial, technology, licensing, or strategic partnership agreements.

• Proven experience advising business teams on product development, commercialization, and/or revenue-generating activities.

• Familiarity with artificial intelligence, technology transactions, digital products, cybersecurity, and/or intellectual property.

• Background in an in-house legal department, transactional law firm, nonprofit organization, professional association, technology company, or similar setting.

• Preferred experience advising tax-exempt organizations and their affiliated nonprofit entities.

• Preferred experience in marketing, joint ventures, product assessments, and/or startup programs.

• Knowledge of responsible technology development and emerging AI regulations is preferred.

• Experience supporting new business lines and early-stage ventures is preferred.

• Experience in developing contract templates, playbooks, and scalable legal processes is preferred.

• Strong business acumen with the ability to balance legal risks against organizational goals.

• Excellent drafting, negotiation, analytical, and project management abilities.

• Capability to articulate complex legal issues to non-lawyers clearly.

• Proficient in managing multiple matters, competing deadlines, and shifting priorities.

• Proficient with contract management systems, project management tools, collaboration platforms, and APA-approved AI tools.
