This is a fully remote position, open to applicants in District of Columbia, +1 more state.
• Act as the main in-house legal advisor for designated revenue-generating initiatives of APA and APASI.
• Collaborate with revenue-generating teams from the initial concept stage through to launch, operations, assessments, and growth.
• Provide guidance on business models, product innovation, commercialization strategies, pricing, distribution methods, strategic partnerships, sponsorships, and licensing deals.
• Offer legal assistance for digital resources, product assessments, and innovation communities.
• Advise APA Labs on technology evaluations, product testing, digital badge initiatives, startup collaborations, and external partnerships.
• Identify legal and business risks, propose effective solutions, and support operational choices.
• Create scalable contract frameworks, templates, approval workflows, and risk management controls.
• Counsel on matters related to artificial intelligence, digital health, emerging technologies, and technology-driven programs.
• Draft and negotiate agreements for AI development, evaluation, testing, data access, research collaborations, technical implementations, and commercial partnerships.
• Provide counsel on intellectual property, data rights, confidentiality, cybersecurity, privacy, licensing, product claims, and technology-related risks.
• Assess proposed AI products, services, pilot programs, and partnerships.
• Establish contractual protections regarding training data, model outputs, human oversight, bias, security, regulatory adherence, audit rights, indemnification, and liability.
• Stay updated on legal and regulatory changes and offer practical advice.
• Assist in formulating governance standards and review processes for responsible AI initiatives.
• Oversee contract lifecycles, including drafting, reviewing, approving, compliance, renewals, amendments, terminations, and dispute resolution.
• Draft and negotiate agreements related to services, technology, licensing, strategic partnerships, sponsorships, data, confidentiality, and memoranda of understanding.
• Maintain contract templates and playbooks while coordinating reviews through APA’s contract management system.
• Engage and supervise external legal counsel when specialized knowledge is required.
• Provide advice on corporate, tax, intellectual property, antitrust, advertising, consumer protection, and regulatory matters.
• Prepare and conduct training for staff on contracting, AI, intellectual property, and compliance issues.
• Participate in internal committees and working groups, supporting OGC priorities.
• J.D. from an ABA-accredited law school.
• Active membership in good standing with the District of Columbia Bar, or eligibility for admission through waiver.
• Eight to ten years of progressive legal experience.
• Extensive experience in drafting and negotiating complex commercial, technology, licensing, or strategic partnership agreements.
• Experience advising business teams on product development, commercialization, and/or revenue-generating activities.
• Background in artificial intelligence, technology transactions, digital products, cybersecurity, and/or intellectual property.
• Experience working within an in-house legal department, law firm transactional practice, nonprofit organization, professional association, technology firm, or similar environment.
• Preferred: experience advising tax-exempt organizations and related nonprofit entities.
• Preferred: experience in marketing, joint ventures, product assessments, and/or startup initiatives.
• Preferred: familiarity with responsible technology development and upcoming AI regulations.
• Preferred: experience supporting new business lines and early-stage projects.
• Preferred: experience in creating contract templates, playbooks, and scalable legal processes.
• Strong business acumen with the ability to balance legal risk against organizational objectives.
• Exceptional drafting, negotiation, analytical, and project management skills.
• Capability to convey complex legal concepts clearly to non-lawyers.
• Ability to handle multiple matters, competing deadlines, and shifting priorities.
• Proficiency in contract management systems, project management tools, collaboration platforms, and APA-approved AI technologies.
