Corporate Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Deliver pragmatic, business-focused legal support for Freenome's clinical, commercial, research, technology, and strategic partnership priorities.

• Draft, review, and negotiate agreements related to commercial, vendor, professional services, technology, software, data, confidentiality, and strategic collaborations.

• Provide guidance on contract structuring and risk distribution, encompassing liability, indemnification, insurance, intellectual property, publications, data security, payment, and termination conditions.

• Assist with strategic partnerships, commercialization efforts, health-system collaborations, and other vital business initiatives.

• Draft and negotiate clinical trial and site agreements, amendments, material transfer agreements, research and collaboration agreements, business associate agreements, and data-sharing agreements.

• Collaborate with Clinical, Corporate Development, Commercial, Finance, and other stakeholders on scopes, budgets, payment terms, specimen usage, publication rights, and intellectual property clauses.

• Identify and resolve healthcare, privacy, and compliance challenges, including HIPAA and data-security regulations.

• Prepare and update amendments and templates to reflect entity changes, assignments, study modifications, new workstreams, and agreed business terms.

• Lead agreements from issue identification and redlining through signature routing, execution confirmation, and delivery of fully executed documents.

• Maintain matter status within the contract lifecycle management system from initiation to closure.

• Coordinate signature workflows, approvals, and authorization, while keeping records of executed agreements.

• Enhance templates, fallback language, playbooks, and intake processes.

• Provide updates on status, highlight dependencies, and communicate legal recommendations to business partners and legal leadership.

• Evaluate significant legal risks, devise practical compromises, and appropriately escalate major issues.

• Advise stakeholders on confidentiality, publications, privacy, data security, insurance, and intellectual property matters.

• Work in tandem with senior legal team members, subject-matter experts, and outside counsel while maintaining daily ownership.

• Report directly to the Director, Corporate Counsel.

⛳️ Requirements

• Juris Doctor degree from an accredited law school.

• Active membership in good standing with at least one state bar (California preferred, or eligibility for Registered In-House Counsel status).

• Over 5 years of relevant legal experience with significant responsibility in drafting and negotiating complex agreements.

• Background in various agreement portfolios, including MSAs, SOWs, vendor and technology agreements, NDAs, clinical trial agreements, MTAs, research collaborations, and data-related contracts.

• Proficient knowledge of life sciences and healthcare contracting challenges, including clinical research, HIPAA, data privacy, information security, publications, and intellectual property allocation.

• Practical experience with contract lifecycle management and electronic-signature platforms.

• Exceptional drafting, negotiation, project management, and communication abilities.

• Capability to manage multiple matters and provide clear, actionable advice.

• A practical, collaborative, and detail-oriented mindset, with strong ownership and urgency, and sound judgment to balance legal risks with clinical, commercial, and strategic objectives.
