Corporate Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Oversee legal responsibilities for acquisitions, strategic investments, joint ventures, and various corporate transactions throughout their entire lifecycle.

• Manage the integration process post-closing and the structure of transactions.

• Collaborate with Finance and Operations on deal strategy and execution.

• Assist with fundraising efforts, which include due diligence, financing documentation, side letters, investor rights, and coordination with outside counsel.

• Work alongside Finance and People on equity-related programs, such as option and RSU grants, plan amendments, cap table maintenance, 409A evaluations, secondaries, and tender offers.

• Collaborate with Finance, Tax, and Operations for global expansion initiatives.

• Provide guidance on securities law issues for a rapidly growing private company.

• Support corporate governance and entity-related tasks, including approvals and subsidiary establishment.

• Create and enhance templates, playbooks, diligence checklists, approval workflows, and the infrastructure for signing and closing.

• Deliver practical, commercially-oriented legal counsel to cross-functional teams.

• Collaborate closely with the General Counsel and the wider Legal Team.


⛳️ Requirements

• Juris Doctor (J.D.) degree.

• Active membership in at least one U.S. State Bar.

• Over 6 years of relevant post-qualification legal experience at a prominent law firm, a high-growth technology company, or a combination of both.

• Demonstrated experience in drafting and negotiating M&A and investment documents, including purchase agreements, term sheets, disclosure schedules, ancillary documents, and post-acquisition integration.

• Significant experience with venture or growth-stage financing and associated securities law matters.

• Familiarity with equity compensation, including plan administration, grant processes, secondaries, and tender offers.

• Strong background in corporate generalist work, governance, and entity formations.

• Exceptional communication, stakeholder management, and problem-solving abilities.

• Comfortable operating in fast-paced environments with changing priorities and tight deadlines.

• Experience in public companies is highly preferred.

• Interest in AI and emerging technologies.

• Capable of managing ambiguity and making prompt decisions.

• Ability to handle multiple live deals simultaneously.

• Ability to work independently while collaborating with cross-functional and global teams.

• A proactive, business-oriented mindset focusing on practical solutions.
