This is a fully remote position, open to applicants in North Carolina.
• Act as the lead attorney responsible for the management of legal entities and subsidiary governance across the Company's portfolio.
• Oversee the formation, maintenance, and periodic filing and reporting obligations of entities.
• Supervise registered agent filings and ensure ongoing compliance with state regulations.
• Prepare subsidiary corporate documents, including resolutions, intercompany agreements, certificates, powers of attorney, and notifications.
• Keep updated lists of officers and directors along with other internal resources.
• Create and enhance plans, processes, and best practices pertaining to corporate governance and entity management.
• Assist with Know Your Client (KYC) inquiries and requests.
• Stay informed on legislative, regulatory, and corporate governance changes.
• Provide support for M&A transactions, financing initiatives, and special projects.
• Manage confidentiality agreements, due diligence, and the finalization of transaction documentation in the transaction pipeline.
• Help with post-transaction integration or separation activities, as well as post-closing issues.
• Work collaboratively with Finance, Tax, HR, Legal, and other cross-functional teams.
• Aid in the management of the Company's intellectual property portfolio.
• Offer overflow legal assistance related to commercial contracts, SEC and Board matters, and litigation management.
• Collaborate on periodic reports concerning changes to corporate entities, officer transitions, M&A, and divestitures.
• Recognize legal and business risks and appropriately escalate issues to senior attorneys.
• Juris Doctor (J.D.) degree from an accredited law school.
• Active membership in at least one U.S. state bar in good standing.
• A minimum of 3 years of legal experience in corporate transactions, corporate governance, entity management, or a closely related field.
• Experience may come from a law firm or in-house legal department, ideally a blend of both.
• Exceptional written and verbal communication skills.
• Ability to convey complex legal concepts into practical advice for non-legal audiences.
• Capability and readiness to manage multiple priorities at once.
• Skill in balancing administrative tasks and substantive workstreams.
• Flexibility to adapt to various substantive legal areas.
• Self-motivated individual with a strong attention to detail and a service-oriented mindset.
• Experience and enthusiasm for integrating new technology tools into legal workflows.
