Corporate Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Review, draft, negotiate, and oversee commercial agreements, such as those related to health plans, providers, subcontractors, commercial services, business associates, confidentiality, vendors, technology, and employment.

• Ensure that contract terms adhere to company policies, reduce risk, and align with operational requirements.

• Provide guidance to internal teams regarding contract terms, business implications, and practical solutions.

• Manage the review process for both inbound and outbound client contracts.

• Direct contract provisions to operations, finance, compliance, and other stakeholders for review and approval.

• Monitor contract status from the initial request through execution and follow up to ensure timelines are met.

• Maintain organized contract files, templates, clause libraries, corporate legal records, contract repositories, entity documents, and compliance files.

• Support activities related to Medicare, Medicaid, HIPAA, and health plan compliance and governance.

• Assist with regulatory filings, annual reports, audits, and client assessments.

• Offer general legal support to legal, compliance, and business teams.

⛳️ Requirements

• Juris Doctor (JD) from an accredited U.S. law school is required.

• 5–7 years of experience as an attorney focused on reviewing, drafting, and negotiating commercial contracts.

• Preferred experience in the healthcare industry and healthcare-related contracting, including health plan and provider contracts.

• Strong knowledge of contract law, commercial terms, indemnification, HIPAA, privacy and data-sharing regulations, and risk-mitigation tactics.

• Outstanding interpersonal skills and the ability to collaborate effectively across different functions.

• High ethical standards are essential.

• Capability to manage confidential and sensitive information with discretion.
