Commercial Legal Apprentice

This is a fully remote position, open to applicants in India.

📋 Description

• Support the drafting, assessment, and revision of agreements related to affiliates, services, suppliers, sponsorships, events, speakers, NDAs, MSAs, Order Forms, SOWs, and Amendments.

• Recognize essential commercial and legal terms, highlight deviations from standard practices, and escalate any non-standard provisions.

• Analyze counterparty redlines and create comparison summaries along with internal briefing documents.

• Monitor contract terms and deviations in relation to approved templates, playbooks, and fallback positions.

• Collaborate with teams across Affiliate, Events, Marketing, Procurement, Finance, IT, and Security.

• Perform legal research on relevant regulations, contract laws, and industry benchmarks.

• Evaluate speaker presentations and promotional materials for compliance, ensuring adherence to FTC endorsement and testimonial guidelines.

• Manage contract trackers, logs, filing systems, and records within Ironclad CLM.

• Keep track of deadlines, renewal dates, and milestones while preparing status updates.

• Assist in contract due diligence by verifying counterparty information and escalating potential risks.

• Create and revise quick-reference guides, checklists, clause libraries, and review playbooks.

• Aid in compliance-related research, legal operations projects, and initiatives aimed at process improvement.

• Recent Bachelor’s degree in Law, or currently pursuing a law degree from an accredited law institution.

• Strong academic performance and a genuine interest in corporate, contract, or commercial law.

• High attention to detail and precision.

• Exceptional written and verbal communication abilities, with the skill to clearly articulate complex legal concepts.

• Capacity to meticulously read dense documents and identify inconsistencies, gaps, or risks.

• Strong analytical, organizational, and follow-up skills; capable of managing multiple contracts at various stages.

• Ability to handle confidential and sensitive information with care.

• Collaborative attitude; comfortable reaching out across teams to obtain information and resolve issues.

• Proactive and dependable, able to take charge of assigned tasks while knowing when to seek clarification or guidance.

• Proficient in using Google Workspace, Slack, Microsoft Office, and AI tools such as ChatGPT and Copilot.

• Access to a secure computer system and a reliable internet connection.

• Relevant coursework, internship, or project experience in contract review, commercial law, or legal operations (preferred but not mandatory).

• Familiarity with SaaS business models or technology transactions (preferred but not mandatory).

• Basic proficiency in Google Sheets (preferred but not mandatory).

• Experience with contract lifecycle management tools, particularly Ironclad (preferred but not mandatory).
